ST步森(002569.SZ)：終止收購微動天下100%的股權
格隆匯 3 月 28日丨ST步森(002569.SZ)公佈，公司於2021年3月26日召開第六屆董事會第二次會議和第六屆監事會第二次會議，審議通過了《關於終止重大資產重組的議案》，同意公司終止本次重大資產重組事項。公司獨立董事對此發表了事前認可意見和獨立意見。
重大資產重組：公司擬向瀋陽支付現金收購其持有的浙江微動天下信息技術股份有限公司(“微動天下”)22%股權，並向瀋陽、義烏市鼎世厚土企業管理諮詢合夥企業(有限合夥)、杭州博文股權投資有限公司、桐鄉伯樂宏圖股權投資合夥企業(有限合夥)、北京金興元三期投資管理中心(有限合夥)、諸暨易發聯恆企業管理合夥企業(有限合夥)、寧波隆富康創業投資諮詢合夥企業(有限合夥)、羅紅利、王鵬輝、易健、廣西扶綏鑫元信息諮詢中心(有限合夥)、寧波華桐恆泰創業投資合夥企業(有限合夥)、杜欣、周丹、劉懷宇、寧波天贏宏順股權投資合夥企業(有限合夥)、深圳市唯石投資合夥企業(有限合夥)、陳學軍、北京天星開元投資中心(有限合夥)、廣州市英諾投資合夥企業(有限合夥)、天津華建企業管理合夥企業(有限合夥)、廣州盛粵優選投資中心(有限合夥)、朗瑪四號(深圳)創業投資中心(有限合夥)、朗瑪八號(深圳)創業投資中心(有限合夥)發行股份收購微動天下剩餘的78%股權。此次交易完成後，微動天下將成為上市公司全資子公司。
同時，上市公司擬向公司控股股東北京東方恆正科貿有限公司非公開發行股份募集配套資金，發行股份數量4326.3萬股，合計募集配套資金總額57236.95萬元，發行股份數量不超過此次交易前上市公司總股本的30%，且募集資金總額預計不超過公司此次交易中以發行股份購買資產的交易對價的100%，此次募集配套資金在扣除中介機構費用和相關税費後，將用於支付此次收購的現金對價。
自籌劃此次重大資產重組以來，公司嚴格按照相關法律法規要求，積極組織相關各方推進此次交易工作。但基於此次重組方案較為複雜，目前市場環境等原因，經與交易對方友好協商，經公司審慎研究決定終止此次重大資產重組事項。
