恆泰裕集團(08081.HK)擬參與投資印尼電子貨幣服務企業
格隆匯 3 月 9日丨恆泰裕集團(08081.HK)宣佈，於2021年3月9日，公司全資附屬Noble Tack International Limited作為認購人與目標公司TNG Indonesia Holdings Limited及TNG FinTech 訂立認購協議，據此，認購人同意認購目標公司經擴大後的51%股權，代價為100萬美元。
完成已於緊隨簽署認購協議後落實。於完成後，目標公司由集團及TNG FinTech分別擁有51%及49%股權。於完成後，目標公司已成為公司的間接附屬公司，其財務業績將綜合計入集團之財務業績。
於完成時，認購人、目標公司及TNG FinTech 訂立股東協議，以規管彼等與目標公司的關係。根據股東協議，認購人須於完成日期起計兩個星期期間屆滿當日或之前向目標公司提供總額不超過100萬美元的股東貸款。股東貸款為免息、無抵押，但須按要求償還。
據悉，目標公司屬投資控股公司。TNG Singapore為投資控股公司，由目標公司、印尼股東、獨立第三方Vertical Connection Pte Ltd 及TNG FinTech 分別擁有79%、12%、6%及3%股權。TNG Indonesia 為投資控股公司，由 TNG Singapore及目標公司分別擁有99%及1%股權。TNG Indompet 由TNG Indonesia 及印尼股東分別擁有49% 及51% 股權。印尼股東已根據合約安排將其所持股權質押予 TNG Indonesia。TNG Indompet 主要(1)透過傳統實體門店於3個地區(即Balikpapan、Samarinda 及Papua)獨家從事PTDian Kencana Puri Prima 的Indosat 移動充值卡分銷業務；以及(2) 根據合作事項，與電子貨幣發行人於印尼推出聯合品牌"W-Cash"電子錢包。根據印尼適用法律，電子貨幣發行人須就合作事項取得印尼銀行批准，惟於公佈日期，尚未取得印尼銀行批准。根據認購協議，TNG FinTech及目標公司已向認購人承諾(其中包括)於最後截止日期或之前取得印尼銀行批准，否則，認購人將有權行使認沽期權。
集團的部分主要業務為移動互聯網文化業務及提供資訊科技服務以及放債業務。經考慮目標集團於印尼的主要業務，董事認為，認購目標公司將與集團的主要業務相契合，併為集團提供機會發展其於印尼及周邊地區的業務。董事認為，認購事項亦將與集團的移動互聯網文化業務及提供資訊科技服務以及放債業務形成強大互補，併為其主要業務提供整體協同效益。
