路勁(01098.HK)收購一家印尼公司45%股權
格隆匯 3 月 5日丨路勁(01098.HK)公吿，於2021年3月5日，Kings Ring(公司擁有75%間接附屬公司)與賣方（PP及WTR）訂立有條件買賣協議，據此，Kings Ring同意(i)向PP購買目標公司PT Jasamarga Kualanamu Tol 15%股權，代價為4,120億盧比；及(ii)向WTR購買目標公司PT Jasamarga Kualanamu Tol 30%股權，代價為8240億盧比。於收購事項完成後，目標公司將由KingsRing及PTJM分別擁有45%及55%。
PTWaskita Karya(Persero)Tbk.主要於印尼從事土木工程、工程、採購及建築以及採礦，由印尼政府及公眾股東分別擁有約66.04%及約33.96%。
PP由印尼政府及公眾股東分別擁有51%及49%。PP主要從事提供建築及土木建築服務。
目標公司主要於印尼蘇門答臘(一座位於印尼西北部的島嶼)從事經營一條高速公路。其目前持有Medan-Kualanamu-Tebing Tinggi收費公路特許經營權，該公路為橫跨蘇門答臘收費高速公路網絡的一部分，其總長度為61.7公里。該收費公路的特許經營權期合共為40年，直至2056年為止。
公司為一家投資控股公司，而集團主要在中國及香港從事物業發展及投資，其中專注於住宅發展、投資及資產管理業務，以及於中國及印尼透過基建合資企業發展、經營及管理收費公路。集團致力維持及透過尋求戰略機會投資高速公路項目進一步優化其既有收費公路業務，且專注於現有產生收入高速公路項目以優化回報，並優先考慮已營運及收取路費收費公路項目。
由於目標公司擁有一條已營運及收費的高速公路，收購事項乃集團擴大其於印尼高速公路投資組合良機。於2020年6月30日，集團的目前收費公路投資組合包括七條高速公路，其中五條位於中國及兩條位於印尼，全長超過500公里。收購事項將令集團擴大其於印尼高速公路項目投資組合。
由於Medan-Kualanamu-Tebing Tinggi收費公路已營運及收取路費，於收購事項完成後，集團將即時有權透過目標公司享有該收費公路的收入。
