新特能源(01799.HK)：新疆新能源對盱眙高傳及江蘇高傳提起訴訟
格隆匯 3 月 3日丨新特能源(01799.HK)公吿，董事會獲新疆新能源吿知，其已向北京市第二中級人民法院("北京中院")對盱眙高傳及其控股公司江蘇高傳新能源有限公司("江蘇高傳")提起訴訟，並於近日收到北京中院發出的《受理案件通知書》。
於2017年1月，新疆新能源與盱眙高傳簽訂承包合同，約定由新疆新能源以總承包方式承建該項目。於2017年5月，盱眙高傳與華夏金租簽訂融資租賃合同，華夏金租針對該項目開展融資租賃業務，租賃金總額人民幣6億元。華夏金租同時與盱眙高傳及新疆新能源簽訂轉讓協議，約定華夏金租承擔該項目主要設備、組件及其材料採購的付款義務並取得該項目建成後該等資產的所有權；但承包合同項下其他權利和義務仍由盱眙高傳與新疆新能源按承包合同的約定予以履行。
新疆新能源亦與華夏金租訂立債權轉讓安排，據此華夏金租已以人民幣6億元的對價將其在融資租賃合同項下全部已到期、未到期及融資租賃合同解除(如發生)後的債權；及對融資租賃合同項下的全部債權提供的擔保權，包括盱眙高傳100%股權、收入及應收賬款，轉讓給新疆新能源。
截至公吿日期，盱眙高傳於融資租賃合同項下已到期未付租金為人民幣5730.1萬元，故此新疆新能源有權要求盱眙高傳支付全部已到期未付租金╱租前息、未到期租金、遲延違約金、留購款項和其他應付款項。
新疆新能源以盱眙高傳未按約定支付融資租賃租金為由提起該訴訟，請求北京中院判令(i)盱眙高傳支付已到期未付租金人民幣5730.1萬元、全部未到期租金人民幣8.1億元及相應的的遲延違約金、留購款項和律師費("該等款項")；(ii)新疆新能源有權從盱眙高傳已支付的人民幣3637.8萬元押金中抵扣該等款項；(iii)江蘇高傳就該等款項承擔連帶責任；(iv)就該等款項，新疆新能源有權優先受償江蘇高傳或盱眙高傳質押或抵押的(a)盱眙高傳股權折價或者以拍賣、變賣所得的款項；(b)收入及相關收益權；及(c)相關建設用地使用權折價或者以拍賣、變賣所得的款項；及(v)盱眙高傳及江蘇高傳負擔訴訟費、財產保全費用等費用。
