格隆匯3月2日丨ST天成(600112.SH)公佈，公司股票近9個交易日累計漲幅達55.22%，公司已於2021年2月23日、2021年2月27日在指定信息披露媒體披露了《股票交易異常波動公吿》(公吿編號：臨2021-015)、《股票交易異常波動公吿》(公吿編號：臨2021-018)，短期內公司股票股價漲幅較大，敬請廣大投資者注意二級市場交易風險，理性決策，審慎投資。
由於公司近期股價漲幅較大，為避免不必要的炒作，引起股價不正常的波動，維護市場正常交易秩序，公司特此向廣大投資者進行風險提示，具體如下：
一、經公司自查，公司目前生產經營活動正常。市場環境或行業政策沒有發生重大調整、內部生產經營秩序正常。
公司於2021年1月30日在指定信息披露媒體上披露了《2020年年度業績預虧公吿》(公吿編號：2021-005)、《關於可能被實施退市風險警示的提示性公吿》(公吿編號：2021-007)，經公司初步測算，預計2020年年度實現歸屬於上市公司股東的淨利潤為-2.06億元至-3.08億元；預計2020年度經審計的期末淨資產為負值，若公司經審計的2020年期末淨資產為負值，公司股票將在2020年度報吿披露後被實施“退市風險警示”。
截至目前，公司年度審計工作尚在進行中，具體準確的財務數據以公司正式披露的經審計後的2020年年度報吿為準。敬請廣大投資者，理性投資，注意相關風險。
二、2020年7月8日，公司及相關當事人因涉嫌信息披露違法違規，收到中國證監會的《調查通知書》；截至本公吿披露日，中國證監會的調查尚在進行中，公司將全力配合中國證監會的相關調查工作,並根據調查進展情況及時履行信息披露義務。
如公司因立案調查事項被中國證監會予以行政處罰，且依據行政處罰決定認定的事實，觸及《上海證券交易所股票上市規則》規定的重大違法強制退市情形的，公司股票將面臨重大違法強制退市的風險。具體詳細情況請見公司在指定信息披露媒體上披露的相關公吿信息，敬請廣大投資者，理性投資，注意相關風險。
三、公司未發現存在可能或已經對上市公司股票交易價格產生影響的媒體報道或市場傳聞，亦未涉及熱點概念事項等。
四、經公司核實，未發現可能對上市公司股價產生較大影響的重大事件，除公司於2021年3月2日在指定信息披露媒體披露的《關於控股股東部分股份被司法執行的公吿》(公吿編號：2021-019)事項外，公司控股股東、實際控制人及公司董事、監事、高級管理人員在股票交易異常波動期間不存在買賣公司股票的情況。
五、除公司已披露的信息外，截至本公吿披露日，公司、公司控股股東、實際控制人不存在關於公司的應披露而未披露的重大信息，包括但不限於重大資產重組、發行股份、上市公司收購、債務重組、業務重組、資產注入和資產剝離等重大事項。
