中國海洋石油(00883.HK)：紐交所宣佈啟動美國存托股份下市程序
格隆匯 2 月 28日丨中國海洋石油(00883.HK)公佈，紐約證交所於2021年2月26日(東部標準時間)在其網站登載消息，紐約證交所監管部門已決定對公司美國存托股份啟動下市程序，依據是因美國總統於2020年11月12日(東部標準時間)頒佈的行政命令及美國財政部外國資產控制辦公室於2021年1月27日發佈的通用許可1A及常見問題879所提供的更新指引，公司根據紐約證交所上市公司手冊第802.01D條的規定已不再適合上市。紐約證交所將於2021年3月9日上午四時整(東部標準時間)暫停美國存托股份的買賣。紐約證交所將向美國證券交易委員會提出申請，於完成包括對紐約證交所監管部門的決定提出之任何申訴(如有)在內的所有適用程序後將美國存托股份下市。
截至2021年2月26日，公司以美國存托股份形式持有的普通股佔公司總已發行股本約0.5%。於截至2020年12月31日止年度，美國存托股份在紐約證交所的日均交易量佔公司於聯交所、紐約證交所及多倫多證券交易所上市證券的總日均交易量約14.5%。
摩根大通銀行為美國存托股份的存託人。受限於公司、摩根大通銀行以及美國存托股份不時的持有人訂立的存託協議之條款，美國存托股份持有人可將其美國存托股份交還給摩根大通銀行，以換取公司的普通股。每股美國存托股份註銷後可換取100股公司普通股，後者在聯交所進行上市交易。鑑於美國存托股份擬議下市，美國存托股份持有人就擬議下市將對彼等產生的影響，以及倘若彼等有意將彼等持有的美國存托股份轉換成公司普通股，可向彼等的專業顧問諮詢。
公司對紐約證交所的上述決定和行動表示遺憾。紐約證交所的決定和行動可能會影響公司證券的交易價格和數量。公司將繼續密切跟蹤此事件的相關進展，未來將根據聯交所證券上市規則及適用法律按需要適時進一步發出公吿。
