宏光照明(06908.HK)收購快速電池充電系統解決方案公司全部股份
格隆匯 2 月 25日丨宏光照明(06908.HK)公吿，於2021年2月24日，買方宏光照明控股有限公司、賣方(GSR Capital Special Opportunity FundL.P、Great Ocean Prime Holding Limited)及賣方擔保人訂立買賣協議，據此，賣方有條件同意出售，而買方有條件同意收購GSRGO Holding Corporation全部股份，總代價為7680萬港元。
代價將由公司根據一般授權按發行價每股代價股份0.96港元向賣方A和賣方B配發及發行5600萬股和2400萬股股份，入賬列作繳足代價股份支付。賣方擔保人已同意擔保賣方妥實遵守及履行買賣協議項下的義務。代價股份將會根據一般授權發行。代價股份佔公司於公佈日期的現有已發行股約20.0%，及公司因配發及發行代價股份經擴大已發行股約16.7%(假設於完成前將無任何其他發行或回購股份)。
目標集團主要從事研發快速電池充電系統解決方案。目標集團在中國提交了3項關於充電站的快速充電蓄電池系統﹑充電轉換系統蓄電池模組及適用於電動汽車充電站充電的電動設備的專利註冊申請。憑藉目標集團已開發的專業技術及知識，目標集團已與獨立第三方訂立總金額不超過15億元人民幣的5年期銷售合約；據此，目標集團將出售，而該獨立第三方將購買或該獨立第三方將與中國地方政府共同組建合資企業於未來5年內購買合共約47萬件快速充電產品。於公佈日期，目標集團尚未開始相關產品的產銷。
集團一直致力開發光學電子產品，將其應用於消費電子產品，包括手機﹑電動汽車面板及其他智能電子家居產品。管理層認為，為了增強智能設備及環保電動汽車的普及性，快速充電電池解決方案可以成為促進這一趨勢的關鍵核心技術一。快速充電電池解決方案的開發亦將會與集團現有產品達致協同效應，並允許在智能設備中交叉銷售這些電子元件。
據此，董事會對電動自行車電池系統及相關快速充電解決方案的市場潛力持樂觀態度，收購目標集團將會作為集團業務的擴展，以減輕（COVID-19)疫情對集團當前業務的影響；同時，亦帶來了潛在的投資機會，可以為股東創造更高的價值。此外，由於代價是通過發行代價股份支付的，因此不會對集團造成直接的現金流量負擔。
公司已向聯交所申請自2021年2月26日星期五上午九時正起恢復股份在聯交所的買賣。
