中設股份(002883.SZ)：擬27.275億元收購悉地設計100%股權
格隆匯 2 月 17日丨中設股份(002883.SZ)公佈，公司擬向樅繁設計、無錫交通集團、倍盛控股、君度瑞晟、聯熙投資、熙和瑞祥、Magnificent Delight、Splendid Delight、高贍公司、悉聚創投、嘉勝行投資、悉嘉創投、悉盈創投、悉和企業、君度尚左、Cheng Yu Investments發行股份及支付現金收購合計持有的悉地設計100%股權。此次交易完成後，悉地設計將成為上市公司全資子公司。
此次交易標的資產為悉地設計100%的股權。對交易標的資產的評估採用收益法和資產基礎法兩種方法進行評估，並以收益法評估結果作為本次交易的評估結論。根據江蘇中企華中天出具的《評估報吿》(蘇中資評報字[2021]第1004號)，截至評估基準日2020年9月30日，悉地設計100%股權在收益法下的評估結果為28.12億元，參考上述評估價值，經上市公司及交易對方友好協商，確定標的公司100%股權的交易價格為27.275億元。
公司擬以非公開發行的方式向公司實際控制人陳鳳軍、孫家駿及陳峻3人發行股份募集配套資金，發行股份數量1000萬股，其中，向陳鳳軍非公開發行900萬股，向孫家駿非公開發行50萬股，向陳峻非公開發行50萬股，合計募集配套資金總額14740萬元，不超過本次交易前公司總股本的30%，且募集資金總額預計不超過公司本次交易中以發行股份購買資產的交易對價的100%，此次募集配套資金擬用於支付現金對價、中介機構費用及相關税費。
此次發行股份及支付現金購買資產和募集配套資金的足額認繳互為前提，共同構成本次交易不可分割的組成部分，其中任何一項未獲得所需的批准或實施，則本次重大資產重組自始不生效。
此次交易前，上市公司圍繞“交通、市政、建築、環境”四大業務板塊從事相應的規劃、設計、諮詢、研究、勘察、檢測、工程監理、項目管理、工程總承包等業務，並重點專注於城市建設和交通建設領域的工程設計諮詢服務。
此次交易完成後，上市公司將持有悉地設計100%股權。悉地設計是在城市建設和開發領域從事綜合專業服務的大型工程設計諮詢機構，其業務涵蓋超高層建築、商業辦公、體育場館、軌道交通建築、醫療健康、文化旅遊以及市政公用等多個行業和領域，形成了以設計為核心，包含規劃諮詢及勘察檢測的工程技術服務體系。
通過此次交易，上市公司將成為行業內少數業務範圍和技術資質全覆蓋的平台型企業，在“交通、市政、建築、環境”四大領域均有一定體量和影響力，在一些重點城市形成綜合的設計諮詢能力，大大提高了競爭力。綜上，本次交易可有效拓寬上市公司盈利來源，提升其可持續發展能力、抗風險能力以及後續發展潛力，為整體經營業績提升提供保證，符合上市公司全體股東的利益。
