*ST北能(000803.SZ)與創業集團簽署戰略合作協議
格隆匯 2 月 8日丨*ST北能(000803.SZ)公佈，2021年2月8日，公司與創業集團(控股)有限公司(“創業集團”)簽署《戰略合作協議》，基於雙方均有意發展有機廢棄物處理業務，經友好協商，本着互惠互利、實現雙贏的原則，建立戰略合作關係，成為戰略合作伙伴。雙方充分發揮各自的資源優勢和特色，互相尊重，自願互利，按照市場原則推進合作，拓寬合作領域，提高合作水平，形成優勢互補、互利共贏、共同開拓市場的戰略佈局。在國家政策、法律、法規允許的範圍，雙方開展多層次、多領域、全方位的業務合作。
為滿足雙方在項目建設和區域業務擴張過程中，對資金、技術、設備等方面的需求，雙方利用自身的優勢，提供廣泛而有效的資金、技術、設備和服務，達成戰略合作目的。
(一)建立共贏的投融資平台
雙方通過境內外上市公司平台資源發揮各自優勢，搭建合作項目建設開發的主要投融資平台，在符合雙方利益及風險可控的前提條件下，支持實現項目建設和合作業務擴張等戰略目標。
開展資產的有效運營，通過存量資產的重組和優化組合，以及合作開發新項目，追求投資的經濟效益最大化。
雙方將拓展戰略合作的深度和範圍，合作方式將包括通過合法程序持有對方股份。
(二)項目合作模式
雙方擬採取多種合作模式共同開發項目，如BOT、EPC、技術開發及裝備製造等。雙方將優先選擇對方作為投資合作、工程實施、裝備採購、技術服務供應方/合作方。雙方擬就乙方已有餐廚垃圾處理項目的股權轉讓、置換等事項開展深度合作，乙方將優先選擇甲方作為上述事項的合作方。
(三)技術研發合作
雙方將合作開發適用於有機廢棄物處理業務的技術並根據相應的合作開發協議分擔開發成本、分享技術成果。
(四)其他業務合作
根據有關法律法規，雙方可根據對方需要向對方提供餐廚垃圾處理、高濃度有機廢水及環保業務等信息調查和信息諮詢等信息諮詢服務。
