恆潤股份(603985.SH)：公司董事親屬短線交易公司股票
格隆匯 1 月 26日丨恆潤股份(603985.SH)公佈，經核查，公司董事兼副總經理周洪亮的配偶胡燕存在短線交易公司股票的行為，違反了《證券法》的相關規定。
經公司核查，胡燕於2020年8月31日至2020年9月8日期間買賣公司股票，累計買入公司股票300股，累計賣出公司股票300股，構成短線交易。
上述操作屬於胡燕不瞭解相關法律、法規的規定所致，周洪亮先生事先並不知曉相關情況，且未吿知親屬公司經營相關情況。周洪亮已認識到上述違規交易的嚴重性，並就此對公司和市場帶來的不良影響，向廣大投資者致以誠摯的歉意，並承諾將進一步認真學習相關法律法規，規範本人及近親屬買賣公司股票的行為，自覺維護證券市場秩序，杜絕此類情況再次發生。
2020年3月1日施行的《證券法》第四十四條規定：上市公司、股票在國務院批准的其他全國性證券交易場所交易的公司持有百分之五以上股份的股東、董事、監事、高級管理人員，將其持有的該公司的股票或者其他具有股權性質的證券在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益。前款所稱董事、監事、高級管理人員、自然人股東持有的股票或者其他具有股權性質的證券，包括其配偶、父母、子女持有的及利用他人賬户持有的股票或者其他具有股權性質的證券。
據此規定，胡燕女士在買入後六個月內賣出公司股票行為構成短線交易，由於其賣出價低於買入價，該次短線交易沒有產生收益，故無收益上交公司。
周洪亮已認識到本次短線交易的嚴重性，特委託公司向廣大投資者致以誠摯的歉意，由於公司正在籌劃實際控制人變更相關事宜，本人及本人直系親屬承諾，自本承諾出具之日至恆潤股份實際控制人變更實施完畢或恆潤股份宣布終止該事項實施期間，本人及本人近親屬將嚴格遵守相關法律法規及證券主管機關頒佈的規範性法律文件規範交易行為，不會再以直接或間接方式通過股票交易市場或其他途徑買賣恆潤股份的股票。經公司核查，周洪亮親屬買賣公司股票均為行為人對二級市場交易情況的獨立判斷而作出的決定，不存在利用內幕信息進行交易謀求利益的情形。
公司董事會向全體董事、監事、高級管理人員對上述短線交易買賣股票的行為予以通報，要求引以為戒。
公司要求持有上市公司股份5%以上的股東以及全體董事、監事、高級管理人員進一步加強對《證券法》、《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》、《上市公司股東、董監高減持股份的若干規定》、《上海證券交易所股票上市規則》等相關法律法規、規範性文件及公司內部管理制度的學習，嚴格遵守有關規定，杜絕此類事項的再次發生。
