恆潤股份(603985.SH)：濟寧市國資委將成為公司實控人 明起復牌
格隆匯 1 月 26日丨恆潤股份(603985.SH)公佈，承立新與濟寧城投簽署了《關於江陰市恆潤重工股份有限公司股份轉讓協議》，雙方一致同意承立新將其持有的公司股票1223.04萬股(截至2021年1月26日佔公司股份總數的6%)轉讓給濟寧城投。轉讓價格為39.35元/股，轉讓總價約4.81億元。
承立新與濟寧城投簽署了《濟寧城投控股集團有限公司與承立新之不可撤銷的表決權委託協議》及《濟寧城投控股集團有限公司與承立新之不可撤銷的表決權放棄協議》，約定承立新將其持有的公司23.99%股份(4890.1216萬股)對應的表決權不可撤銷地委託給濟寧城投，並將不可撤銷地放棄公司6.01%股份對應的表決權。若未觸發上述協議約定的其他終止事由，《表決權委託協議》將於本次非公開發行股票的新增股份登記至濟寧城投名下之日終止，《表決權放棄協議》將於濟寧城投持有公司的股份比例比承立新高出5%之日終止。
股份轉讓、表決權委託及放棄事項全部生效後，濟寧城投將持有公司29.99%的股份對應的表決權，成為公司的控股股東，濟寧市國資委將成為公司的實際控制人。
濟寧城投與承立新簽署了《附條件生效的股份認購合同》，濟寧城投擬以現金方式認購公司向特定對象非公開發行的6115.2萬股股票，最終認購數量將根據中國證監會核准的發行方案確定。
此次非公開發行完成後，濟寧城投將持有公司7338.24萬股股份，佔發行後公司總股本的27.69%，公司控股股東仍為濟寧城投，實際控制人仍為濟寧市國資委。
濟寧城投作出承諾，將在此次非公開發行的股份登記至濟寧城投證券賬户後三個月內，在二級市場增持公司的股票至濟寧城投持有的公司股票佔公司屆時總股本的29%至30%之間，《表決權放棄協議》將在收購方持有的公司股份比例比承立新高出5%以上時終止。
根據《股份轉讓協議》，承立新將積極促成公司向濟寧城投非公開發行股份，使得濟寧城投持有的公司的股份達到對公司具有控制力的程度；除濟寧城投同意外，承立新在濟寧城投對公司擁有控制權期間不增持公司的股票，不謀求對公司及其董事會的控制，不協助第三方謀求對公司及其董事會的控制。
經公司向上海證券交易所申請，公司股票自2021年1月27日上午開市起復牌。
