農尚環境(300536.SZ)：董事會批准子公司對蘇州內夏投資
格隆匯 1 月 22日丨農尚環境(300536.SZ)公佈，之前公吿披露，2020年9月27日，公司第三屆董事會第二十四次會議審議通過了《關於公司簽署投資意向書的議案》，董事會同意公司與韓國Nexia Device Co.,LTD、蘇州內夏半導體有限責任公司簽署投資意向書，公司擬出資對蘇州內夏半導體進行增資，認繳蘇州內夏半導體註冊資本5100萬元，持股51%股權，納入公司合併報表範圍。
近期，公司已完成投資前盡職調查及可行性研究分析等工作，經2021年1月22日公司第三屆董事會第二十七次會議審議通過《關於公司全資子公司對蘇州內夏投資的議案》批准，公司全資子公司武漢芯連微電子有限公司出資5100萬元人民幣貨幣資金，與Nexia Device Co.,LTD(韓國內夏半導體公司)出資4900萬元人民幣貨幣資金(含其前期認繳150萬美元出資)對Nexia Device Co.,LTD(韓國內夏半導體公司)的全資子公司蘇州內夏半導體有限責任公司(Nexia Device Co.,LTD認繳註冊資本150萬美元)進行增資，增資後公司持有蘇州內夏半導體有限責任公司51%股權。
授權公司全資子公司武漢芯連微電子有限公司簽訂本次投資的相關合同和協議。
蘇州內夏半導體有限責任公司和Nexia Device Co.,LTD(韓國內夏半導體公司)簽訂《知識產權轉讓協議》和《合作研究與技術許可協議》約定，蘇州內夏半導體有限責任公司向Nexia Device Co.,LTD(韓國內夏半導體公司)購買OLED 電視顯示驅動芯片(TDDI)相關的專利(含8項登記有效專利和3項在申請專利等)、非專利技術(含25項非專利技術)和技術許可(3份合同)等，上述技術和許可的交易價格以具有證券從業資格資產評估機構出具的資產評估價格為基礎，經雙方協商確定，雙方同時共同推進後續技術研發。
增資完成後，蘇州內夏半導體有限責任公司註冊資本由150萬美元增至10000萬人民幣，武漢芯連微電子有限公司和Nexia Device Co.,LTD(韓國內夏半導體公司)分別持有蘇州內夏半導體有限責任公司51%和49%股權，分別擁有2名和1名董事會席位，納入公司合併報表範圍。
預計2021年1月底，於江蘇省蘇州市，武漢芯連微電子有限公司、Nexia Device Co.,LTD(韓國內夏半導體公司)和蘇州內夏半導體有限責任公司共同籤訂《增資協議》及《股東協議》約定，武漢芯連微電子有限公司出資5100萬元人民幣，與Nexia Device Co.,LTD(韓國內夏半導體公司，擬出資4900萬元人民幣，含其前期認繳150萬美元出資)對蘇州內夏半導體有限責任公司(Nexia Device Co.,LTD認繳註冊資本為150萬美元)進行增資，增資後武漢芯連微電子有限公司持有蘇州內夏半導體有限責任公司51%股權；蘇州內夏半導體有限責任公司和Nexia Device Co.,LTD(韓國內夏半導體公司)簽訂《知識產權轉讓協議》和《合作研究與技術許可協議》約定，蘇州內夏半導體有限責任公司向Nexia Device Co.,LTD(韓國內夏半導體公司)購買OLED 電視顯示驅動芯片(TDDI)相關的專利(含8項登記有效專利和3項在申請專利等)、非專利技術(含25項非專利技術)和技術許可(3份合同)等，並共同推進後續技術研發。
