光庫科技(300620.SZ)：控股股東將變更為華實控股 實控人將變更為珠海國資委
格隆匯1月18日丨光庫科技(300620.SZ)宣佈，公司於近日收到控股股東Infinimax Assets Limited(簡稱“Infinimax”)及股東Pro-Tech Group Holdings Limited(簡稱“Pro-Tech”)、XL Laser (HK) Limited(簡稱“XL Laser”)的通知，上述各方已經與華實控股於2021年1月16日簽訂了《股份轉讓協議》及《三方合作協議》。
根據上述協議，公司控股股東Infinimax通過協議轉讓的方式將其持有的公司股份604.5885萬股(佔公司總股本5.57%)按照45元/股的價格協議轉讓給華實控股，轉讓對價金額約為人民幣2.72億元；Pro-Tech將持有公司股份377.1220萬股(佔公司總股本3.48%)按照45元/股的價格協議轉讓給華實控股，轉讓對價金額約為人民幣1.70億元。華實控股合計受讓上述股東持有的公司股份981.7105萬股(佔公司總股本9.05%)。
Pro-Tech同意自該次股份轉讓完成之日，不可撤銷地放棄其持有的剩餘全部公司股份1158.0660萬股(佔公司總股本的10.67%)的表決權，期限為自協議生效之日起至該協議生效之日後屆滿3年之日，或自該協議生效之日起，至甲方直接和間接所持目標公司股份份額合計超過任一單一股東直接和間接所持股份份額合計10%以上；XL Laser同意無條件且單方面不可撤銷地將其持有的公司全部股份所對應的表決權、提名和提案權、參會權、監督建議權等相關權利委託予華實控股行使，委託期限為三年(自該協議生效日起36個月)，以確保華實控股成為公司控股股東。
該次股份轉讓實施完畢後，華實控股將持有公司股份2599.2176萬股(佔公司股份總數的23.95%)及受託5.62%的公司表決權，合計控制公司29.57%股份的表決權，公司的控股股東將變更為華實控股，實際控制人將變更為珠海國資委。
