勁嘉股份(002191.SZ)：勁嘉科技擬獲你我科技等增資
格隆匯 1 月 11日丨勁嘉股份(002191.SZ)公佈，為更好地推進公司戰略發展佈局，拓寬新型煙草等新興板塊的發展路徑，公司擬與深圳市你我網絡科技有限公司(“你我科技”)、尚待設立的員工持股平台合夥企業(“合夥企業”)簽署《關於深圳市勁嘉科技有限公司的投資協議》，你我科技擬對公司全資子公司深圳市勁嘉科技有限公司(“勁嘉科技”)增資人民幣400萬元，交易完成後持有勁嘉科技8%股權；合夥企業擬對勁嘉科技增資人民幣1500萬元，交易完成後持有勁嘉科技30%股權。
前述交易完成後，勁嘉科技的註冊資本增至5000萬元，公司持有勁嘉科技62%股權，勁嘉科技為公司的控股子公司，不會導致合併報表範圍發生變化。
你我科技專注於電子霧化技術產品的研發，目前已取得專利349件，擁有“Suorin”、“YouMe”等系列品牌產品，產品類型包括電子霧化設備，加熱不燃燒設備等，產品線已覆蓋包括美國、歐洲、中東國家等在內的全球主流國家，其已上市產品均已通過CE、Rosh、歐盟TPD等多項檢測認證，其於2020年已提交下屬“Suorin”品牌旗下的一款產品在美國的PMTA認證申請，具有良好的市場競爭能力，與勁嘉科技在新型煙草領域的發展具有較高的契合度和協同性；此次增資引入員工持股平台，主要目的為建立、健全勁嘉科技的長效激勵機制，充分調動其經營管理團隊和核心骨幹員工的積極性、主動性和創造性，有利於勁嘉科技發展目標的實現。
此次增資事項完成後，你我科技將與勁嘉科技建立全面、深入的戰略合作關系，根據你我科技的實際需求，勁嘉科技將為其提供電子霧化設備等新型煙草制品的研發、設計及製造服務。
此次增資事項有助於增強勁嘉科技的資本實力，為各項業務的開展提供一定的資金保障，利用合作各方的優勢和資源，開展業務合作和資源協同，拓寬勁嘉科技新型煙草的品類及客户，進一步拓展和提升公司在新型煙草的市場份額，符合公司的發展戰略。
