上海電氣(02727.HK)澄清稱光刻機和船用曲軸非公司經營業務
格隆匯1月8日丨上海電氣(02727.HK)公吿，近日，公司關注到有媒體發佈了關於公司下屬企業混合所有制改革以及光刻機等業務的報導。該報導提及，“上海電氣已確定2021年旗下企業混合所有制改革及員工持股改革計劃。涉及企業包括：上海電氣上重碾磨特裝設備有限公司、上海電器陶瓷廠有限公司、上海電氣自動化設計研究所有限公司。‘十四五’期間，上海電氣將繼續承擔好重型燃氣輪機、光刻機、高端數控機牀、快堆、船用曲軸、大型鑄鍛件、航空工業等國家‘卡脖子’技術攻關任務。”
公司獲悉上述報導後，針對上述報導內容進行了核實。核實情況如下：1、關於上海電氣下屬企業混合所有制改革及員工持股改革計劃的情況經核實，該報導中提及的上海電氣上重碾磨特裝設備有限公司、上海電器陶瓷廠有限公司、上海電氣自動化設計研究所有限公司為公司下屬子公司，公司目前對上述三家子公司的混合所有制改革及員工持股計劃尚處於籌劃階段，具體內容尚未確定，混合所有制改革及員工持股計劃的實施需履行相關機構審批決策程序，實施尚存在不確定性。除於2019年實施的公司限制性股票激勵計劃外，截至目前，公司並無計劃實施上市公司層面的混合所有制改革或員工持股計劃，對公司經營業績及股權結構均不會構成重大影響。
2、關於光刻機、船用曲軸等技術攻關任務的情況經核實，該報導中提及的光刻機和船用曲軸非公司經營業務。其中：光刻機為公司控股股東上海電氣（集團）總公司持有32.09%股權的上海微電子裝備（集團）股份有限公司的相關業務，並非上市公司業務。截至目前，公司也無關於光刻機的技術攻關計劃。
此外，從事船用曲軸業務的上海船用曲軸有限公司原為公司下屬子公司，但公司已於2019年將所持上海船用曲軸有限公司86.727%股權協議轉讓給上海電氣（集團）總公司全資子公司上海電氣企業發展有限公司。截至目前，公司並無船用曲軸的技術攻關計劃。
