格林美(002340.SZ)：荊門格林美擬將印尼鎳資源項目權益增加至72%
格隆匯1月4日丨格林美(002340.SZ)公佈，公司於2018年9月27日召開的第四屆董事會第四十次會議、2018年10月16日召開的2018年第三次臨時股東大會，審議通過了《關於公司下屬公司荊門格林美與新展國際、廣東邦普、印度尼西亞IMIP園區、阪和興業擬簽署<關於建設印尼紅土鎳礦生產電池級鎳化學品(硫酸鎳晶體)(5萬噸鎳/年)項目的合資協議>的議案》，同意公司下屬公司荊門市格林美新材料有限公司(簡稱“荊門格林美”)與新展國際(青山鋼鐵下屬企業)、廣東邦普(CATL控股公司)、印度尼西亞IMIP園區、阪和興業簽署《關於建設印尼紅土鎳礦生產電池級鎳化學品(硫酸鎳晶體)(5萬噸鎳/年)項目的合資協議》。
該項目簽署後，合作各方在印尼設立了PT. QMB NEW ENERGY MATERIALS(簡稱“青美邦公司”)來實施項目，合作各方積極推進項目的進行，項目按照計劃有序推進。
針對全球新能源發展對鎳資源帶來的緊缺性挑戰，為擴大鎳資源戰略掌控能力，更好的推進印尼鎳資源項目的進行，在各合作伙伴的支持與理解下，公司下屬公司荊門格林美近日與寧波邦普時代新能源有限公司(簡稱“寧波邦普時代”)、香港邦普循環科技有限公司(簡稱“香港邦普”)、永青科技股份有限公司(簡稱“永青科技”)、新展國際控股有限公司(簡稱“新展國際”)、PT. Indonesia Morowali Industrial Park(簡稱“IMIP”)簽署了關於PT. QMB NEW ENERGY MATERIALS之備忘錄，約定同意公司下屬公司荊門格林美及其關聯方直接及間接持有青美邦公司72%股份。
重組前，青美邦公司中，荊門格林美持有其36%股權，香港邦普持有其25%股權，新展國際持有其21%股權，IMIP持有其10%股權，阪和興業持有其8%股權。
此次重組後，荊門格林美及其關聯方直接及間接持有青美邦72%股份、寧波邦普時代間接持有青美邦10%股份、IMIP持有青美邦10%股份、阪和興業持有青美邦8%股份。
公司表示，在全球新能源動力三元電池快速往高鎳低成本方向發展的大趨勢下，該備忘錄的簽訂，有助於公司擴大鎳資源的獲取數量與戰略掌控能力，有助於公司搶佔鎳資源先機，為公司建設全球競爭力的高鎳三元前驅體材料製造體系提供戰略鎳資源保障，滿足全球新能源發展對低成本、高質量三元材料的市場需求，將促進公司未來在全球三元材料市場領域的競爭地位提升，對穩定和提升公司電池材料核心業務的盈利能力具有積極的促進作用。
