世聯行(002285.SZ)：擬轉讓完成資產重組後世聯集房100%的股權及對應的所有權益
格隆匯 12 月 30日丨世聯行(002285.SZ)公佈，公司擬與全資子公司世聯集房、寧波江北華燕智輝實業投資合夥企業(有限合夥)(“華燕智輝”)簽署《關於轉讓深圳世聯集房資產管理有限公司股權之股權轉讓協議》，世聯行擬向華燕智輝轉讓其持有的完成資產重組後世聯集房100%的股權及對應的所有權益(“目標權益”)，目標權益的轉讓價格為人民幣5.3億元。
該等價格系參考信永中和會計師事務所(特殊普通合夥)出具的《深圳世聯集房資產管理有限公司2019年度、2020年1-9月模擬審計報吿》。根據具有證券、期貨相關業務評估資格的北京中林資產評估有限公司出具的中林評字【2020】371號《資產評估報吿》，以2020年9月30日為評估基準日，以資產基礎法為評估方法，世聯集房擁有的長租業務板塊模擬合併的股東全部權益價值為52951.46萬元。
上述《股權轉讓協議》簽署日起七個工作日內，公司擬與世聯集房就世聯集房控制下的43家子公司簽署若干份《股權轉讓協議》(“43家子公司股權轉讓協議”)。根據43家子公司股權轉讓協議，公司將以合計人民幣21917.26萬元的對價受讓前述43家子公司的相關股權。
公司控股股東珠海大橫琴集團有限公司(“大橫琴”)的全資子公司珠海大橫琴創新發展有限公司(作為優先級有限合夥人，“大橫琴創新”)擬與華燕智輝(作為普通合夥人)及其他有限合夥人(作為劣後級有限合夥人)共同設立珠海橫琴華琴實業投資合夥企業(有限合夥)(“華琴實業”，最終名稱以工商部門核准的名稱為準)，作為承接華燕智輝在《股權轉讓協議》項下全部權利、義務的主體。其中，大橫琴創新認繳前述主體49.5%的出資份額。大橫琴為公司控股股東，根據《深圳證券交易所股票上市規則》的相關規定，其全資子公司大橫琴創新為公司的關聯法人，上述交易構成了關聯交易。
