瀚川智能(688022.SH)：董祕唐高哲通過大宗交易違規減持公司股票
格隆匯 12 月 27日丨瀚川智能(688022.SH)公佈，公司於2020年12月25日收到公司董事、副總經理兼董事會祕書唐高哲因大宗交易違規減持公司股票的致歉聲明，現就有關事項披露如下：
此次違規減持前，唐高哲個人直接持有公司股票103.275萬股，佔公司總股本的0.9563%。上述股份來源於公司首次公開發行前持有的股份。
2020年12月18日，公司董事唐高哲通過大宗交易系統將所持有的258187股的公司股票以22.55元/股的價格轉讓給交易對手。上述行為違背了其在《首次公開發行股票並在科創板上市招股説明書》中做出的有關承諾，即“本人所持公司股票在鎖定期滿後兩年內減持的，其減持價格(如果因派發現金紅利、送股、轉增股本、增發新股等原因進行除權、除息的，須按照中國證券監督管理委員會、上海證券交易所的有關規定作相應調整)不低於公司首次公開發行股票時的發行價”。
此次交易唐高哲與交易對手約定了將所持有的258187股的公司股票以25.79元/股的價格轉讓給對方，但由於對方短期資金不足，而唐高哲的解禁份額已快到年底，因此約定採取一次性支付股份、兩次支付資金的方式進行交易。實際於2020年12月18日進行交割的首次付款價格為22.55元/股，剩餘的83.65萬元資金計劃待明年進行支付，因此上海證券交易所大宗交易專場業務系統顯示的22.55元/股即首次付款價格低於公司首次公開發行股票的價格，非其主觀故意違規減持。
此次違規減持公司股票的致歉與處理情況：1.上述行為發生後，唐高哲及時深刻認識到本次違規事項的嚴重性，主動向公司董事會進行檢討，同時就本次違規減持公司股票行為向公司及廣大投資者致以誠摯的歉意。今後將加強對證券賬户的管理，謹慎操作，加強自身對相關法律法規、規範性文件的學習並嚴格遵守相關承諾事項，防止類似事情再次發生。
公司董事會知悉此事後高度重視，並及時核實相關情況。經綜合考慮，公司董事會對唐高哲違規行為決定處以40萬元人民幣罰款。
2.公司將進一步加強董事、監事、高級管理人員及持有公司5%以上股份的股東對相關法律法規的學習，督促相關人員遵守規定，加強賬户管理，規範操作，杜絕此類事情再次發生。
3.唐高哲承諾將持續履行首次公開發行股票時做出的有關承諾事項，並承諾自本次公吿日起6個月內不再減持所持有的公司股票。
