東方國信(300166.SZ)：子公司北科億力擬0元受讓智冶互聯40%股份
格隆匯 12 月 24日丨東方國信(300166.SZ)公佈，公司於2020年12月24日召開第四屆董事會第三十一次會議，審議通過了《關於全資子公司對外投資的議案》,公司全資子公司北京北科億力科技有限公司(“北科億力”)擬與上海偲邁徠特企業管理中心公司(有限合夥)(“偲邁徠特”)、趙宏博(以上三方合稱“甲方”)分別以0元人民幣受讓路焱、郝瑞所持北京智冶互聯科技有限公司(“智冶互聯”、“標的公司”)100%的股權並簽署《股權轉讓協議》。
各方一致同意，北科億力將出資0萬元認購路焱持有智冶互聯的40%股份；偲邁徠特出資0萬元認購路焱持有智冶互聯的31%股份；趙宏博出資0萬元認購路焱持有智冶互聯的19%股份；趙宏博出資0萬元認購郝瑞持有智冶互聯的10%股份。

公司全資子公司北科億力是冶金工業安全、高效運行綜合解決方案提供商和冶金測控設備供應商，通過高端工業智能軟件模型的開發和數據挖掘分析，為鋼鐵企業全生命週期運行提供專業、完整、持久的精準檢測、運營分析、智能診斷和諮詢服務，提高鋼鐵企業生產的科學化、信息化、智能化、數字化、自動化水平。當前，大型鋼鐵國企的大範圍併購導致高端業務向其控股的子公司匯聚，基礎檢測系統低價競爭加劇，鐵-鋼-軋、產-供-銷一體化成為主流。智冶互聯將立足於冶金智能工廠整體解決方案，做透冶金機理模型和工業軟件，覆蓋製造全環節，快速形成標杆工程和示範基地，力爭打造成為國際領先的大冶金智能工廠整體解決方案提供方和服務商。投資智冶互聯有利於實現公司、客户、團隊多贏。
投資完成後，北科億力業務領域將從鍊鐵高爐向上遊的料場、焦化、燒結等工序和下游的鍊鋼、精煉、連鑄等工序延伸，從黑色向有色、選礦等大冶金行業擴展；產品方面將從生產監測預警向諮詢、規劃、設計、集控、採購、物流、排產、質量、安環等拓展，打造面向製造全生命週期、人機料法環全要素、運營全環節的一體化智能管控工廠。北科億力此次對外投資財務風險可控，並將實現公司集團在工業互聯網領域的業務佈局及技術延伸。
