中天金融(000540.SZ)：擬與貴陽市雲巖區政府在未來方舟片區實施“貴州·酒世界”項目
格隆匯 12 月 15日丨中天金融(000540.SZ)公佈，為促進區域經濟新發展，建設“特色商貿零售產業、體驗式餐飲娛樂業、文旅休閒產業”三位一體的產業融合型項目，公司子公司中天城投集團貴陽房地產開發有限公司(“貴陽房開”、“甲方”)擬與貴陽市雲巖區人民政府在未來方舟片區實施“貴州·酒世界”項目。貴陽市雲巖區人民政府已指定貴陽市雲巖國有投資控股集團有限公司(“雲巖國投”、“乙方”)與貴陽房開共同設立貴州未來酒世界商業管理有限公司，並委託該公司作為“貴州·酒世界”項目運營管理平台，開展“貴州·酒世界”項目商業經營管理活動。為確保合作項目的順利實施，2020年12月15日，貴陽房開與雲巖國投簽署《貴州酒世界項目合作協議》，貴陽房開擬將50億元資產劃至其全資子公司貴州瑞景鑫企業管理有限公司(“瑞景鑫公司”、“交易標的”)，並由雲巖國投受讓交易標的100%股權，股權轉讓價款暫定為50億元。最終交易價格以交易各方共同認可的具有相關業務資質的評估機構出具的評估報告結果為基礎協商確定，公司將依據最終交易價格及時履行相關審議程序和信息披露義務。
項目位於貴陽市雲巖區未來方舟世貿半島，總建築面積約100萬m²。項目以“酒”為主題，建設包含文化展演體驗中心、消費體驗空間及多元化精品酒店體系。依託世貿半島及未來方舟外灘7公里商業帶，引入全球高品質餐飲、酒文化夜遊娛樂、黔貨出山等豐富業態，營造兼具商業文旅休閒與生活美學鑑賞的國際化標杆性體驗空間。
為給項目運營提供堅實的資金保障，公司將以投資等形式向瑞景鑫公司等SPV公司提供合計不超過30億元貨幣資金，確保“貴州·酒世界”項目運營達到預期效果，公司將依據投資事項履行相關審議程序和信息披露義務。本次交易所得款項主要用於公司項目的開發建設、拓展市場、支持主要子公司業務發展等，進一步提升公司的市場競爭力和盈利能力。
此次股權轉讓事項是公司與貴陽市雲巖區人民政府分步實施“貴州·酒世界”項目合作的第一步，是加快推動“貴州·酒世界”項目落地的重要舉措。此次交易如能按計劃推進，將充分發揮雙方資源優勢，進一步提升公司資產運營效率和盈利能力，將對公司2020年和未來財務狀況、經營成果產生一定的積極影響，推動公司持續穩定發展。
