*ST拉夏(603157.SH)：收到上海證券交易所監管工作函
格隆匯 12 月 9日丨*ST拉夏(603157.SH)公佈，公司於2020年12月9日收到上海證券交易所監管二部《關於對新疆拉夏貝爾服飾股份有限公司涉及訴訟及資產凍結事項的監管工作函》(上證公函【2020】2679號，“工作函”)，現將具體內容公告如下：
新疆拉夏貝爾服飾股份有限公司：
“今日，你公司披露關於累計涉及訴訟及資產凍結情況的公告，自2019年12月9日至今累計訴訟涉案數量439起，涉案金額約15.23億元。相關事項對公司影響重大，根據本所《股票上市規則》第17.1條規定，現對你公司提出如下工作要求。”
一、根據公司公告，公司累計涉及大額訴訟、仲裁等，並存在公司全資子公司股權、銀行賬户被凍結及資產被查封等情況。根據本所《股票上市規則》，你公司連續12個月內發生的訴訟和仲裁事項涉案金額累計達到相關信息披露標準應當及時披露。請公司補充披露：(1)上述訴訟、查封、凍結事項前期信息披露情況，列表説明訴訟、仲裁等事項的內容以及相關查封凍結的具體時間，未及時披露的原因及整改措施；(2)是否存在其他應披露而未披露的重要合同、重大訴訟、查封凍結等重大信息，如存在，請補充披露；(3)是否存在因擔保、借款等事項涉及訴訟的情況及信息披露情況；(4)針對上述情況，公司在對應年度計提預計負債情況，以及計提的依據、具體時點；未計提的，説明原因及依據；説明相關會計處理是否符合會計準則的要求；(5)對公司財務狀況和生產經營的影響及相關風險。
二、根據公司公告，公司及下屬子公司85個銀行賬户被凍結，實際被凍結金額約為2.05億元。請公司結合目前公司賬户被凍結、資產被查封的情況，補充披露：(1)銀行賬號被凍結對公司生產經營的影響；(2)目前不動產查封的情況及對公司的影響，是否存在被處置的風險。
三、請公司結合前述訴訟、部分銀行賬户及資產被凍結情況，以及目前經營情況及內部治理等情況，核實並補充披露公司目前的內控控制運行情況及是否有效，是否存在其他應披露未披露的重大事項，公司董事會已採取及將要採取的解決措施。
請你公司收到本工作函後立即對外披露，並針對上述問題向公司控股股東及實際控制人書面確認後於五個交易日內書面回覆我部，同時履行相應的信息披露義務。你公司及全體董監高應當勤勉盡責，全面規範公司運作，加強內控體系建設，整改信息披露工作，提升信息披露質量，切實維護投資者權益，充分提示各項風險。
公司將按照工作函的要求儘快回覆並及時披露。
