兆馳股份(002429.SZ)擬2922萬元轉讓北京風行10%股權予風馳天下
格隆匯12月1日丨兆馳股份(002429.SZ)宣佈，為合理佈局人才團隊，建立長效激勵機制，公司擬與風馳天下籤訂《股權轉讓協議》，約定以人民幣2922萬元的價格轉讓公司持有的北京風行345.01977萬元出資額(佔其註冊資本的10%)，並授權董事長於董事會審議通過後簽署相關協議。轉讓前，公司持有北京風行股權比例為66.80%，轉讓後，公司持有北京風行股權比例變為56.80%(最終以工商行政部門登記為準)。
北京風行是國內著名的互聯網視頻服務運營平台之一，同時是公司家庭娛樂生態領域中智能電視業務的運營平台。作為全球首款網絡下載與播放同步的視頻軟件開發者，北京風行成立十五年來，經歷從PC、移動到OTT的多種業務形態，致力於為用户提供電影、電視劇、動漫、綜藝、體育等長短視頻的內容服務。
憑藉旗下多個媒體產品和內容運營解決方案，北京風行運營了風行視頻、暴風影音等系列產品，並且擁有FUNUI、橙子短視頻等大屏產品，還通過多渠道運營解決方案鏈接用户，已形成跨多渠道的智能內容分發、運營以及商業變現的獨特互聯網視頻運營商，實現了互聯網、文娛和實業的跨域深度融合。
因風馳天下執行事務合夥人周燦為公司控股股東新疆兆馳股權投資合夥企業(有限合夥)的有限合夥人；公司總經理歐軍、董事兼財務負責人嚴志榮通過天津風雲之志企業管理諮詢中心(合夥企業)間接持有風馳天下的財產份額，故此次股權轉讓事項構成了關聯交易。
公司表示，此次交易是從滿足互聯網內容運營業務未來發展需求的角度出發，調動公司和下屬公司管理團隊以及核心崗位員工的積極性，激發其研發創造力，有利於促成北京風行發展戰略和經營目標的實現，推動互聯網內容運營業務的持續快速發展，進一步擴大公司“實業+互聯網”的資源優勢，提高上市公司核心競爭力及綜合實力，為股東創造更好的價值回報。
