光線傳媒(300251.SZ)：光線影業擬向參股公司橙子映像提供1.1億元財務資助
格隆匯 11 月 30日丨光線傳媒(300251.SZ)公佈，公司於2020年11月30日召開第四屆董事會第十五次會議、第四屆監事會第十五次會議審議通過了《關於以自有資金對外提供財務資助的議案》。公司子公司北京光線影業有限公司(“光線影業”)擬以自有資金向公司的參股公司天津橙子映像傳媒有限公司(“橙子映像”)提供人民幣1.1億元的財務資助。
鑑於長期發展戰略的需要，橙子映像擬對其現有股權結構進行優化調整，回購其股東上海恆焱投資合夥企業(有限合夥)持有的4%的股權，光線影業此次提供的資金將用於該回購股權事項。橙子映像為公司的參股公司，此次財務資助有利於支持橙子映像自身股權結構的優化調整和長期、穩定的經營發展，有利於提高公司自有資金的使用效率，也有利於公司和橙子映像之間的協作共贏。
橙子映像是影視文化內容生產公司，業務涵蓋影視投資、影視製作、藝人經紀、舞台劇演出、劇場運營等多個領域。橙子映像自成立以來出品了眾多優秀影視劇項目，如《銀河補習班》《我和我的家鄉》《惡棍天使》《戰狼II》《乘風破浪》《安家》《傳聞中的陳芊芊》等；此外，已完成的承製項目有《傳聞中的陳芊芊》《我和我的家鄉》之《回鄉之路》等。目前橙子映像已經形成了較強的內容創作團隊以及製作團隊，整體資產質量較好，無不良資產，無不良信用記錄，盈利能力相對較高，整體償債能力較好。
為有效防範本次財務資助的違約風險，橙子映像及其關聯公司以其應收賬款為此次借款設定質押，光線影業為質押財產的質權人。同時，橙子映像的此次借款由鄧超、錢瑞向光線影業提供擔保，承擔連帶保證責任。如橙子映像未按照借款合同的約定償還全部款項，則光線影業有權同時或單獨擇其一行使上述連帶責任保證權利和應收賬款質押權利，以保障債權的實現。光線影業及其關聯公司有權選擇行使或不行使橙子映像及其關聯公司主控的不少於四部影視項目分別不低於20%的投資權和獨家發行權。此次財務資助事項雖有以上風險防控措施，但仍存在一定風險，敬請廣大投資者謹慎決策，注意投資風險。
