文投控股(600715.SH)：信託計劃將通過相關交易持有Bidco 34.85%股權 實現對信託底層資產的優化重組
格隆匯 11 月 25日丨文投控股(600715.SH)公佈，公司於2019年12月27日召開九屆董事會第四十次會議，審議通過了《關於對信託計劃份額進行處置退出的議案》，同意公司對持有的錦程資本020號集合資金信託計劃(“信託計劃”)份額進行全部或部分處置退出，包括對信託計劃份額進行轉讓出售、積極推進信託計劃的清算及分配等，並授權公司管理層公開徵集信託計劃份額受讓方或配合信託公司出售全部或者部分信託計劃底層資產，授權期限為1年。2020年1月15日，公司發佈了《關於擬對信託計劃份額進行處置退出的進展公告》。
近日，公司收到信託計劃受託人北京國際信託有限公司(“北京信託”)的通知，公司參與認購的信託計劃已通過其在香港設立的特殊目的公司Ithink International Cultural Investment Co., Limited (“Ithink”)，與Infinity Bidco Limited (“Bidco”)簽署《股份出售協議》，擬由Ithink向Bidco出售其持有的英國特效製作公司Guidedraw Limited (“Guidedraw”)75%的股權，Bidco向Ithink新增發行股份作為此次交易對價；
Bidco是一家註冊在英國的持股平台公司，持有美國特效製作公司Company3/Method Inc (“Company3/Method”)100%的股權，大股東為股權基金Aleph Capital和Crestview Partners。此次交易完成後，Bidco將持有Company3/Method100%的股權和Guidedraw 100%的股權(包括Bidco向Ithink和Guidedraw原其餘股東收購的股權)；股權基金Aleph Capital和Crestview Partners持有Bidco 186.012萬股A類普通股，持有Bidco 53.53%的股權，為其第一大股東；信託計劃將通過Ithink持有Bidco 121.125萬股B類普通股，持有Bidco 34.85%的股權，成為其第二大股東；
此次交易完成後，Guidedraw將與Company3/Method在Bidco層面實現業務的整合與互補，形成包括電影特效業務、電視劇特效業務、後期製作業務、廣告業務在內的全產業鏈覆蓋，並有望在收入規模上成為全球第二大的特效製作公司。信託計劃通過此次交易持有Bidco 34.85%的股權，實現了對信託底層資產的優化重組，有利於公司持有信託計劃份額的保值增值和後續的處置退出。
