天齊鋰業(002466.SZ)：已暫緩支付2020年內到期的部分併購貸款利息
格隆匯 11 月 24日丨天齊鋰業(002466.SZ)就深圳證券交易所《問詢函》的回覆稱，按照公司此前與銀團簽署的相關協議，併購貸款中的18.84億美元將於2020年11月底到期，佔公司最近一期經審計淨資產的179.35%；公司已暫緩支付2020年內到期的部分併購貸款利息(截至目前，累計應付未付銀團併購貸款利息金額約4.71億元人民幣，佔公司最近一期經審計淨資產的6.76%)。儘管公司根據初步磋商結果已經向銀團正式提交了調整貸款期限結構的申請，截至公告披露日，銀團展期手續尚在審核中，公司還未獲得銀團確定同意的批覆文件，亦未就此與銀團簽署相關協議，存在貸款到期且未能成功展期而公司無法及時、足額償付導致違約的可能性。
公司正在結合經營計劃、股權融資計劃與銀團就展期等事宜進行積極磋商，公司和控股股東層面仍在積極開展戰略投資者引入等相關工作，相關事項未來若有更新進展，公司將及時履行信息披露義務。
因主營產品銷售數量與銷售價格的下降、財務費用的大幅增加以及對前期併購資產計提減值準備等因素影響，公司2019年以及2020年前三季度歸屬於上市公司股東的淨利潤均為負值。公司長期看好新能源汽車行業發展，但是2020年新冠疫情在全球範圍內蔓延，全球經濟因此遭受重創，短期內或對新能源汽車、消費類電子產品等下游行業造成衝擊，加之行業週期性調整，公司日常生產經營、項目建設、融資進展等均受到較大影響，各種不確定因素疊加將可能導致公司2020年經營業績繼續虧損。
根據《深圳證券交易所股票上市規則》的相關規定，如公司最近兩個會計年度經審計的淨利潤連續為負值或者因追溯重述導致最近兩個會計年度淨利潤連續為負值，深圳證券交易所有權對公司股票交易實施退市風險警示，在公司股票簡稱前冠以“*ST”字樣，以區別於其他股票，股票價格的日漲跌幅限制為5%。由於公司2019年淨利潤為負，如果公司2020年經營業績無法出現大幅提升，實現扭虧為盈，在公司披露經審計的《2020年年度報告》後存在被深交所實施退市風險警示的可能性。
