ESR(01821.HK)：ESR Kendall Square REIT進入全面首次公開發售程序以在韓國交易所上市
格隆匯 11 月 23日丨ESR(01821.HK)發佈公告，有關ESR Kendall Square REIT建議在韓國交易所KRX KOSPI市場上市。ESR Kendall Square REIT宣佈已進入全面的首次公開發售程序以在韓國交易所KRX KOSPI市場上市，其證券登記聲明將於2020年11月22日生效。
ESR Kendall Square REIT的71,459,000股股份將以每股普通股5,000韓元的初始發售價提呈發售。預計全球發售規模約為3,573億韓元。面向國內外機構投資者的建賬將於2020年11月25日至2020年12月2日進行，而面向散户投資者的認購將於2020年12月4日至2020年12月8日進行。
Citigroup Global Markets Korea Securities Limited、Morgan Stanley & Co. International Plc首爾分行及Korea Investment & Securities Co., Ltd.將擔任聯席全球協調人和包銷商，而參與本次全球發售的其他聯席經辦人及包銷商包括NH Investment & Securities Co., Ltd.、KB Securities Co., Ltd.及Samsung Securities Co., Ltd.。全球發售完成後，公司將通過其附屬公司間接擁有ESR Kendall Square REIT 9.9%的股權。
ESR Kendall Square REIT是一個由ESR Kendall Square Inc.(公司的附屬公司)發起的房地產投資信託基金(REIT)，其以韓國的物流設施為基礎資產。其將成為韓國首個公開上市的機構優質REIT，並期望通過在主要地區收購更多資產(收購決策將考慮項目的位置、租户和預期回報)而不斷提高投資價值。ESR Kendall Square REIT預計將通過其全資附屬公司直接購買資產，再加上向ESRKendallSquareInc.管理的基金(並非公司附屬公司)購買擁有若干物業的四個房地產基金各自約99%的股權，從而收購11項物業。該等物業大部分位於首爾郊區(包括高陽、龍仁及利川)，總建築面積為68.4萬平方米。其中10項物業的收購須於2020年12月14日或前後或可能協定的其他日期完成，而其餘一項物業的收購預計將於2021年6月1日或之前或可能協定的其他日期完成。
