民眾金融科技(00279.HK)訂立重組契據及註銷股份溢價賬內進賬額27.8億港元
格隆匯11月17日丨民眾金融科技(00279.HK)公告，於2020年9月10日，公司、臨時清盤人及投資者訂立重組契據，據此，公司、臨時清盤人及投資者協定重組的主要條款，將包括以下各項：(a)投資者提供第一筆貸款及第二筆貸款；(b)認購事項；(c)註銷股份溢價；(d)復牌；(e)收購事項（倘復牌未獲聯交所批准）；及(f)該等計劃。
同日，公司（作為借方）、臨時清盤人及投資者（作為貸方）訂立第一份貸款協議，據此投資者將向公司提供港幣1.61億元，即等於持牌公司協定代價的金額；及補足貸款金額（如有）。倘復牌獲聯交所批准，投資者將第一筆貸款轉換為第一筆貸款換股股份，該等股份連同認購股份將相當於完成第一筆貸款轉換、認購事項及發行計劃股份後公司經擴大已發行股本的80%。
同日，公司（作為借方）、臨時清盤人及投資者（作為貸方）訂立第二份貸款協議，據此投資者將向公司提供免息及無抵押貸款合共最多港幣4000萬元。倘復牌獲聯交所批准，投資者可於轉換期內將第二筆貸款轉換為第二筆貸款換股股份，該等股份連同第一筆貸款換股股份及認購股份將相當於完成第一筆貸款轉換、認購事項、發行計劃股份、配售減持及第二筆貸款轉換後公司經擴大已發行股本約75%。
倘復牌獲聯交所批准，投資者將透過認購認購股份（連同第一筆貸款換股股份將相當於完成認購事項、第一筆貸款轉換及發行計劃股份後公司經擴大已發行股本的80%）方式向公司注入新認購所得款項港幣8000萬元。新認購所得款項連同任何應計利息將應用作上市公司計劃項下的計劃現金代價。
此外，公司註銷股份溢價將涉及註銷公司股份溢價賬內的全部進賬額約港幣27.8億元。註銷股份溢價產生的進賬將用於抵銷公司截至註銷股份溢價生效當日的累計虧絀。
為促成復牌，公司、臨時清盤人及投資者各自承諾並同意盡其最大努力，根據重組契據的條款於合理切實可行情況下儘快確保遵守復牌指引。倘復牌於最後截止日期前未獲聯交所批准，公司須促使保留附屬公司各自的直接控股公司於保留附屬公司所持的所有股權轉讓予投資者或其代名人，而有關轉讓將根據收購事項買賣協議的條款進行，代價為港幣1.00元。
於收購事項完成後，公司償還第一份貸款協議項下的所有未償還負債予投資者的責任將被視為悉數解除。公司債務重組將通過該等計劃實施。於上市公司計劃生效日期上市公司債權人對公司提出之所有索償將透過實施上市公司計劃予以悉數及最終解除。於其他香港計劃生效日期持牌公司債權人對持牌公司提出的所有索償將透過實施其他香港計劃予以悉數及最終解除。
