富邦股份(300387.SZ)：持股 5%以上股東長江創富收到湖北證監局警示函
格隆匯 11 月 12日丨富邦股份(300387.SZ)公佈，公司持股5%以上股東武漢長江創富投資有限公司(以下簡稱“長江創富”)於2020年11月11日收到中國證券監督管理委員會湖北監管局(以下簡稱“湖北證監局”)下發的《關於對武漢長江創富有限公司釆取出具警示函措施的決定》(〔2020〕42號，以下簡稱“警示函”)，現將具體情況公告如下：
武漢長江創富投資有限公司：
你公司作為湖北富邦科技股份有限公司(以下簡稱富邦股份)持股5%以上的股東，於2019年6月14日至12月11日期間通過集中競價和大宗交易方式，累計減持持有的富邦股份股票1458.86萬股，佔富邦股份總股本的5.03%。綜合考慮被動稀釋及被動增持情況後，你公司持有富邦科技股份變動比例實際已達到5.76%。
你公司作為富邦股份持股5%以上的股東，在持股比例變動達5%後，未提交書面報告並公告，也未在此之前停止買賣富邦股份股票，違反了《上市公司收購管理辦法》(2014年修訂)第十三條第二款中“前述投資者及其一致行動人擁有權益的股份達到一個上市公司已發行股份的5%後，通過證券交易所的證券交易，其擁有權益的股份佔該上市公司已發行股份的比例每增加或者減少5%，應當依據前款規定進行報告和公告。在報告期限內和作出報告、公告後2日內，不得再行買賣該上市公司的股票”的規定。
根據《上市公司收購管理辦法》第七十五條，我局決定對你公司出具警示函，並將上述違規情況記入誠信檔案。你公司應認真吸取教訓，加強證券法律法規學習，嚴格規範買賣上市公司股票行為，杜絕此類行為再次發生。如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證監會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
公司對上述監管措施高度重視，將督促有關股東進一步提升規範意識，嚴格遵守《中華人民共和國證券法》、《上市公司信息披露管理辦法》、《深圳證券交易所創業板股票上市規則》等法律法規以及中國證券監督管理委員會、深圳證券交易所的相關要求，杜絕此類事件再次發生。
