紅太陽(000525.SZ)信批違規 江蘇證監局出具警示函
格隆匯 11 月 9日丨紅太陽(000525.SZ)公佈，公司於2020年11月6日收到中國證券監督管理委員會江蘇監管局(以下簡稱“江蘇證監局”)行政監管措施決定書《江蘇證監局關於對南京紅太陽股份有限公司採取出具警示函監管措施的決定》([2020]106號，以下簡稱“《行政監管措施決定書》”)，現將有關情況公告説明如下：
一、《行政監管措施決定書》內容
“南京紅太陽股份有限公司：
經查，你公司存在以下違規行為：
你公司於2020年1月23日披露《2019年度業績預告》,預計2019年歸屬於上市公司股東的淨利潤為2,250萬元至3,250萬元。受疫情影響年報披露延期，2020年4月30日，你公司披露《2019年主要經營業績》，預計2019年歸屬於上市公司股東的淨利潤為26,843,026.21元。2020年6月23日，你公司披露《關於再次延期披露2019年經審計年度報告的公告》，預計歸屬於上市公司股東的淨利潤為-2.2億元至-2.6億元。2020年6月30日，你公司披露《2019年年度報告》，2019年度經審計歸屬於上市公司股東的淨利潤為-340,045,478.92元。你公司對2019年度淨利潤的多次預計均與實際淨利潤存在較大差異，信息披露不準確。
你公司的上述行為，不符合《上市公司信息披露管理辦法》第二條的規定。依據《上市公司信息披露管理辦法》第五十九條的規定，現決定對你公司釆取出具警示函的行政監管措施，並記入證券期貨市場誠信檔案。請你公司按照相關法律、行政法規和中國證監會規定的要求，強化信息披露管理，嚴格按規定履行信息披露義務。全體董事、監事、高級管理人員應加強相關證券法律法規的學習，切實提高規範意識和履職能力。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
