合生創展集團(00754.HK)擬1.82億美元認購元知開曼20%股權 元知BVI認購合生活20%股權
格隆匯11月3日丨合生創展集團(00754.HK)公告，於2020年11月3日，公司全資附屬怡康、元知開曼、元知BVI、公司全資附屬合生活及公司全資附屬合生商業訂立認購協議，據此：怡康有條件地同意認購，而元知開曼有條件地同意配發及發行元知股份，總代價為1.82億美元，元知股份佔緊隨完成後元知開曼經擴大股本的20%。
元知BVI有條件地同意認購，而合生活有條件地同意配發及發行合生活股份，總代價為1.7億美元，合生活股份佔緊隨完成後合生活經擴大股本的20%；
此外，元知BVI有條件地同意認購，而合生商業有條件地同意配發及發行合生商業股份，總代價為1200萬美元，合生商業股份佔緊隨完成後合生商業經擴大股本的30%。交易完成並非互為條件但預期於同日進行。
據悉，元知開曼為一間於2020年於開曼羣島註冊成立的投資控股公司。元知集團主要於中國經營在線交易配對平台“優選好生活”，目前專注於房地產行業的交易，向房地產開發商及房地產中介公司提供交易配對及平台技術服務。
合生活為一間於2018年於開曼羣島註冊成立的公司。合生活集團目前於中國提供物業管理服務、為非業主提供增值服務以及社區增值服務。
此外，合生商業為一間於2020年於開曼羣島註冊成立的投資控股公司。合生商業集團提供商業房地產行業的運營計劃及諮詢服務。
公司表示，憑藉技術（如大數據技術及人工智能技術），元知集團致力建立技術賦能生態平台，並擬成為多業務、全方位技術解決方案及服務提供商。元知集團主要經營網上平台優選好生活，目前專注於房地產行業的交易，向房地產開發商及房地產中介公司提供交易配對及平台技術服務。集團於元知集團的股權投資符合集團的策略性發展方向及行業多元化的策略，相信此長期股權投資將會增加集團日後整體收入。與此同時，元知集團亦將會策略性地投資合生活集團及合生商業集團。
元知集團入股合生活集團及合生商業集團的策略投資將允許更好開發技術服務及有關大數據、智能計算引擎及移動互聯網技術至後者公司。合生活集團可以進一步發展智慧型社區及智慧型生活服務（利用互聯網及移動技術連繫住户、住户社區及多種服務供應商，以滿足不同需要）。至於合生商業集團，引進新科技可支持其建立傳統業務的技術服務平台，在網上經營及管理商業項目，併為整個系列的商業項目提供全生命週期的諮詢及智能解決方案，這不僅實現合生商業集團轉型至應用智能現代技術管理，同時加強合生商業集團管理的商業物業的活力，併為合生商業集團多元化業務更有效發揮協同效益。整合底層技術與商業模式，不僅為合生活集團及合生商業集團產生新的能力，還可加快其業務增長。
