渤海租賃(000415.SZ)：由香港渤海受讓BL Capital所持天津銀行約1.07億股股權
格隆匯 11 月 1日丨渤海租賃(000415.SZ)公佈，2018年11月，根據公司“聚焦租賃主業”的發展規劃，經公司2018年第十八次臨時董事會批准，公司全資子公司香港渤海租賃資產管理有限公司(“香港渤海”)與海航集團有限公司(“海航集團”)下屬子公司BL Capital Holdings Limited (“BL Capital”)簽署《股權轉讓協議》，香港渤海向BL Capital轉讓持有的天津銀行股份有限公司(“天津銀行”)106,993,500股股權，交易價格為9億元人民幣(按雙方約定的匯率計算摺合約101486.21萬港幣)，BL Capital應在標的資產過户之日起的360個工作日內完成轉讓價款支付。
截至目前，BL Capital向香港渤海支付了1893.37萬港幣股權轉讓款，剩餘99592.84萬港幣尚未支付。鑑於受外部環境變化影響，BL Capital經營困難，支付剩餘股權轉讓款項存在較大不確定性，為保障上市公司合法權益，經友好協商，香港渤海與BL Capital於2020年10月30日在北京簽署了《股權轉讓協議》，由香港渤海受讓BL Capital所持天津銀行106,993,500股股權，用於抵償BL Capital部分應付香港渤海的股權轉讓款。
參考天津銀行賬面淨資產並綜合考慮市場情況，經雙方協商，確定香港渤海受讓天津銀行106,993,500股股權的價格為97500萬港幣，用於等額抵償BL Capital欠付香港渤海的股權轉讓款，剩餘2092.84萬港幣股權轉讓款由BL Capital自協議簽署之日起20個工作日內以現金支付予香港渤海。此次交易完成後，公司全資子公司香港渤海持有天津銀行106,993,500股股權，佔天津銀行總股本的1.76%。
此次關聯交易事項有利於化解公司應收款項回收風險，有利於保障上市公司及中小股東的合法權益，不會對公司生產經營活動及財務狀況造成重大不利影響。
