世聯行(002285.SZ)：與贛州市南康區政府、珠海大橫琴集團簽署戰略合作框架協議
格隆匯 10 月 25日丨世聯行(002285.SZ)公佈，為全面提升甲方城市管理和綜合服務水平，持續深化城市功能品質，優化產業功能佈局，促進中高端產業發展，實現“以產促城，以城興產”，助力甲方加快對接融入粵港澳大灣區建設，全力助推城市高質量發展，贛州市南康區人民政府、珠海大橫琴集團有限公司、公司三方秉承“合作共贏、共創共享”的原則，依託“國有平台+上市平台”協同創新平台，整合各自領先的地位優勢、資源優勢、渠道優勢和市場優勢，以互相借力、互相推動各自產業優勢互補、聯動發展為宗旨，展開業務的全方位戰略合作，實現國有資本和國有企業的做強、做優、做大。經友好協商，三方於近日簽署《戰略合作框架協議》。
三方同意就文旅綜合開發業務、城市大資管業務、產業投資及招商等工作全方位深度開展合作，主要合作內容包括但不限於：
(一)為進一步將南康家居小鎮打造成為“三生”融合和“產城人文”四位一體的工業旅遊地標項目，增強南康的旅遊吸引力，深度融合多樣文化元素，由乙方或乙方作為實際控制人的上市公司丙方作為投資主體，並引入甲方指定國有企業為戰略合作方，共同參與星樂度•露營小鎮、低密度文旅住宅項目開發，並探討合作開發大山腦景區生態旅遊、龍回飛翔小鎮(滑翔基地)等項目。具體項目選址、開發內容、合作形式及出資比例由甲方指定國有企業與乙丙三方另行籤訂正式合作協議確定。
(二)為共同開拓城市大資管業務，改善城市運營管理水平，提升城市物業資產價值，夯實城市招商引資基礎：
1.本協議簽訂後2個月內，由甲方指定國有企業旗下的物業公司引入丙方作為戰略合作者：在協商取得物業公司股東同意，且符合國有產權出讓相關法律法規的前提下，丙方以合理價格，通過增資擴股或股權轉讓等形式，成為該公司單一最大股東，並負責公司實際經營管理。具體方案由甲方指定國有企業和丙方另行簽訂正式協議予以確定。
2.本協議簽訂後1年內，以甲方指定國有企業與丙方雙方的合資公司為主體，甲方授予政府持有或控制國有資產的大資管業務，包括但不限於城市地標空間管理與資產運營、產業空間管理與資產運營、政府國企空間管理與資產運營、城市公共資源管理、城市場館物業管理、文化旅遊綜合體物業管理等；
(三)丙方作為甲方重點招商引資對象，在贛州市南康區設立區域總部，並深度參與贛州市南康區的城市建設及不動產開發諮詢、招商服務等工作。涉及上述相關業務，甲方及下屬國有企業在同等條件下優先選擇丙方作為服務方(須符合國家相關法律、法規為前提)。
(四)乙方引入甲方指定國有企業作為重大產業項目投資的戰略合作方，積極推動甲方指定國有企業通過乙方或丙方發起的產業發展基金，以高端製造業、智能製造業為主要投資方向，以投資促發展：所投資優秀產業項目優先引入贛州市南康區。甲方對引入項目實行精準招商，一企一策：給予最優惠、最個性化的招商政策，包括但不限於土地政策、產業政策、人才政策、税收政策等。
