藥明康德(603259.SH)擬認購Pontifax基金份額500萬美元
格隆匯10月19日丨藥明康德(603259.SH)公佈，公司全資子企業WuXi PharmaTech Healthcare Fund I L.P.(以下簡稱“WuXi Fund I”)擬認購Pontifax(Cayman)VI L.P.(以下簡稱“投資基金”或“Pontifax”)基金份額500萬美元，約佔已募集投資基金份額的3.39%。
在該輪次認購投資基金份額的其他15名投資人中，包括一家由公司執行董事Ning Zhao(趙寧)女士控制的企業，Hodge Lake LLC(以下簡稱“Hodge Lake”)。Hodge Lake將認購投資基金份額500萬美元，約佔已募集投資基金份額的3.39%。因WuXi Fund I與Hodge Lake將在同一輪次中分別認購投資基金份額各500萬美元，本次交易構成關聯交易。
Pontifax將主要專注於在全球範圍內投資高成長性的生命科學公司，最初的重點將放在以色列、美國和歐洲。本公司認為Pontifax的管理團隊擁有在以色列、美國和歐洲豐富的投資經驗和廣泛的行業資源，能夠發掘該領域高質量的創新成果，通過投資幫助被投公司獲得資金以加速其創新成果轉化，並整合行業資源促進被投公司與其他企業開展合作。
公司以較低比例投資Pontifax作為其有限合夥人，一方面有望使本公司在投資風險可控的前提下，獲得風險投資相關的財務收益；另一方面，Pontifax投資所針對的高成長性的生命科學企業是本公司重要的潛在客户羣體，本次投資有助於增進本公司對以色列生物醫藥領域發展最新動態的深入瞭解，為本公司拓展以色列市場提供前瞻性指引，同時有助於本公司進一步深耕美國和歐洲市場，擴展本公司的主營業務。本公司在保證日常經營發展所需資金的前提下，以自有資金參與認繳投資基金份額，本次投資不會對公司財務狀況和經營成果產生重大影響。
