三特索道(002159.SZ)擬對梵淨山自然保護區生態旅遊區開發經營合作模式進行調整
格隆匯 10 月 14日丨三特索道(002159.SZ)公佈，為進一步促進梵淨山自然保護區內生態旅遊活動的統一管理、有序開發、科學經營，提升梵淨山自然保護區的保護管理力度和可持續發展水平，近日，公司及全資子公司梵淨山旅業在貴州省銅仁市與梵淨山管理局簽訂了《關於<梵淨山自然保護區梵淨山索道及旅遊小區整體開發項目合同書>之補充協議》(《補充協議》)，擬對梵淨山自然保護區生態旅遊區開發經營合作模式進行調整。
《補充協議》對梵淨山自然保護區生態旅遊區開發經營合作模式調整內容主要包括：
(1)公司和梵淨山旅業不再開發經營梵淨山國家級自然保護區旅遊小區內除索道及其管理區域之外的其他旅遊項目。
(2)梵淨山旅業將所持有的貴州武陵景區管理有限公司(“武陵景區公司”)100%股權(含武陵景區公司所持的銅仁梵淨山門票銷售有限公司50%股權)、貴州三特梵淨山旅遊觀光車有限公司(“觀光車公司”)100%股權轉讓給梵淨山管理局，具體事宜由各方另行簽訂《股權轉讓協議》。
(3)梵淨山旅業經營的索道項目按索道經營性收入(包括：遊客上下山收入和貨物運送收入等所有收入)的16%向梵淨山管理局支付資源補償費，自《補充協議》生效之日起執行。
(4)除非國家法律或政策另有規定，索道項目資源補償費繳付比例經本次調整後，不應再作調升。
(5)本次合作模式調整後景區經營管理相關具體事宜，由梵淨山管理局和梵淨山旅業另行簽訂《關於梵淨山自然保護區旅遊小區現場管理協議》。
(6)《補充協議》約定的內容與《整體開發合同》相關內容不一致的，以《補充協議》約定的內容為準。《補充協議》未作約定的事項，仍按《整體開發合同書》的約定執行。
(7)自《補充協議》生效之日，各方原簽訂的如下協議廢止：
①梵淨山管理局和公司於2009年2月6日簽訂的《關於梵淨山自然保護區旅遊小區特許經營模式的協議》；
②梵淨山管理局和梵淨山旅業於2009年3月18日簽訂的《關於貴州梵淨山國家級自然保護區旅遊小區經營管理模式的備忘錄》；
③梵淨山管理局和梵淨山旅業全資子公司武陵景區公司於2010年9月1日簽訂的《關於聘用貴州武陵景區管理有限公司對梵淨山國家級自然保護區生態旅遊小區實施專業化管理的協議》。
此次《補充協議》的簽訂，將調整公司與梵淨山管理局對梵淨山項目的合作模式：公司和梵淨山旅業將不再開發經營梵淨山國家級自然保護區旅遊小區內除索道及其管理區域之外的其他旅遊項目，並且，梵淨山旅業經營的索道項目向梵淨山管理局支付資源補償費將由按索道經營性收入的 8%計算調整為16%。
