*ST拉夏(603157.SH)：終止回購股份相關事項存違規情形 收到新疆證監局監管關注函
格隆匯 10 月 9日丨*ST拉夏(603157.SH)公佈，公司於2020年10月9日收到中國證券監督管理委員會新疆監管局《關於對新疆拉夏貝爾服飾股份有限公司的監管關注函》(新證監函〔2020〕234號)。
現將內容公告如下：“新疆拉夏貝爾服飾股份有限公司：
我局在日常監管中關注到，你公司終止回購股份相關事項存在違規情形。你公司於2020年3月20日召開董事會審議通過《關於回購A股股份實施期限延期的議案》，並經2020年5月8日股東大會審議通過。根據《延期回購方案》，公司擬回購的資金總額不超過10000萬元，不低於5000萬元，實施期限延至2020年9月21日。截至2020年9月21日，你公司累計回購A股股份357.32萬股，回購金額2000.99萬元，與此前擬回購金額不低於5000萬元的承諾不相符。你公司遲於2020年9月29日召開董事會審議通過《關於終止回購公司A股股份的議案》，並擬於2020年10月21日提交股東大會審議。上述情形不符合《上市公司監管指引第4號——上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》(證監會公告〔2013〕55號)有關規定。
2020年4月16日，上海證監局對你公司回購股份承諾超期未履行事項下發了責令改正的監管措施，此次是你公司因同一事項第二次違反相關規定。現對你公司提出以下監管要求：
一是積極採取有效措施對回購股份相關違規事項進行整改，做好投資者關係管理和輿情應對工作，消除不良影響，並嚴肅追究相關人員責任。
二是高度重視承諾履行、信息披露、公司治理等工作，不斷提高規範運作水平，避免再次出現類似情形。
三是嚴格按照《證券法》《上市公司信息披露管理辦法》《上市公司治理準則》以及其他相關規範性文件規定，對你公司信息披露、公司治理情況進行自查，自查發現的相關事項若達到信息披露標準，應在履行相關程序後及時進行公告。
你公司應當在收到本關注函之日起10個工作日內向我局提交書面整改和自查報告。我局將視情況對你公司採取下一步監管舉措。”
公司董事會高度重視關注函所提出的監管要求，後續將嚴格按照監管要求在規定時間內向新疆證監局提交書面整改和自查報告，並根據相關規定及時履行信息披露義務。
