紐威股份(603699.SH)：終止收購德國Econosto International Holding 100%股權 擬向賣方支付50萬歐元補償損失
格隆匯 9 月 16日丨紐威股份(603699.SH)公告，公司於2019年12月5日召開第四屆董事會第七次會議，審議通過了《關於擬以自有資金收購德國EconostoInternationalHolding(Deutschland)GmbH100%股權的議案》，公司擬以自有資金1,130萬歐元收購標的資產，該議案無須提交公司股東大會審議。
2019年12月6日，公司與本次交易的賣方EconostoInternationalHoldingB.V.(以下簡稱“賣方”)、賣方保證人EriksN.V.以及標的公司EconostoInternationalHolding(Deutschland)GmbH採取公證的方式簽署了《股權收購協議》(以下簡稱“收購協議”)，收購協議於簽署日當天公證簽署時生效。
自收購協議簽署以來，雙方積極推動項目的實施。公司聘請中介機構跨境開展對標的資產的盡職調查等相關工作，並委派人員全程協同參與；同時雙方積極準備資料，推進相關政府主管機關的備案及審批；公司就收購標的資產的各項事宜與交易相關各方進行了充分的溝通與協調。由於2020年開年以來，新冠疫情等不可預知事項的出現及發展，市場環境發生了較大的變化。鑑於此，經審慎研究，公司於2020年9月16日召開第四屆董事會第十四次會議，審議通過了《關於終止收購徳國EconostoInternationalHolding(Deutschland)GmbH100%股權的議案》，該議案無須提交公司股東大會審議。公司與交易相關各方在平等自願、友好協商的基礎上籤署了《股權收購協議之終止協議》(以下簡稱“終止協議”)，自終止協議簽署生效之日起終止於2019年12月6日簽署的股權收購協議。
根據收購協議約定，雙方一致同意，公司向交易賣方支付50萬歐元以補償賣方和標的公司因終止收購協議而遭受的部分損失(“補償金”)。補償金款項將在以下二者中的較早時間支付：國家外匯管理局付款批准後的第三個工作日或2020年10月15日(“到期日”)。
在收到補償金後，雙方相互確認，任何一方基於股權轉讓協議和/或任何適用法律對任何其他方提出的任何索賠均已最終和完全解決、移交和放棄。尤其是賣方因任何原因對買方、其關聯公司或子公司或買方、其關聯公司或子公司的董事、高級管理人員、承包商或僱員提出的任何進一步損害索賠(包括但不限於發起或參與任何訴訟的任何和所有權利)均已最終和完全解決、移交和放棄(“最終和解”)。
