*ST東科(000727.SZ)擬購買冠捷科技49%股權 明起復牌
格隆匯 9 月 15日丨*ST東科(000727.SZ)披露發行股份購買資產並募集配套資金暨關聯交易預案，此次交易由發行股份購買資產和募集配套資金兩部分組成。
截至預案簽署日，TGL、Bonstar及張強已與華電有限簽署了股權轉讓協議：約定TGL向華電有限轉讓其持有的冠捷科技7653萬股股份，Bonstar向華電有限轉讓其持有的冠捷科技475.4803萬股股份，張強向華電有限轉讓其持有的全部冠捷科技720萬股股份；華電有限已分別與產業工程公司、瑞達投資簽署了股權轉讓協議：約定華電有限向產業工程公司轉讓其持有的冠捷科技6529.3964萬股股份，華電有限向瑞達投資轉讓其持有的冠捷科技2173.6611萬股股份(“冠捷科技股權轉讓”)。
上述冠捷科技股權轉讓完成後，上市公司擬向中國電子、華電有限、產業工程公司、瑞達投資、Bonstar、羣創光電發行股份購買其合計持有的冠捷科技49%股權。
上市公司擬向不超過35名符合條件的特定投資者非公開發行股票募集配套資金，發行股份數量不超過此次交易前上市公司總股本的30%，即不超過約13.59億股，募集配套資金總額不超過此次擬以發行股份方式購買資產的交易價格的100%。
經公司申請，公司股票將於2020年9月16日開市起復牌。
此次交易的實施以公司經第九屆董事會第九次臨時會議審議通過的《關於公司本次重大資產出售及重大現金購買暨關聯交易方案的議案》的實施為前提。前述重大資產出售及支付現金購買資產實施完成後，上市公司將戰略退出液晶面板行業，上市公司將持有冠捷科技51%股權，公司將定位為專注於智能顯示終端領域的智能製造企業，主要業務包括顯示器及液晶電視等產品的研發、生產以及銷售。此次交易完成後，冠捷科技將成為公司之全資子公司，冠捷科技淨資產及經營業績計入歸屬於上市公司股東的所有者權益和淨利潤的比例將提升。
