碧水源(300070.SZ)：中國城鄉成為公司控股股東 國務院國資委成為公司實控人
格隆匯 9 月 14日丨碧水源(300070.SZ)公佈，2020年3月11日，公司股東中國城鄉控股集團有限公司(“中國城鄉”)與公司股東文劍平、劉振國、陳亦力及周念雲簽署了《合作協議》，與公司股東劉振國、陳亦力、周念雲簽署了《表決權委託協議》，與公司股東劉振國、陳亦力簽署了《股票質押合同》，與公司簽署了《股份認購合同》。
鑑於中國證監會、深圳證券交易所於2020年6月12日發佈了創業板改革並試點註冊制相關規章和規範性文件，2020年8月28日，中國城鄉與公司股東文劍平、劉振國、陳亦力及周念雲簽署了《<合作協議>之補充協議》,與公司股東劉振國、陳亦力、周念雲簽署了《<表決權委託協議>之補充協議》。
2020年8月28日，公司收到中國城鄉出具的《關於收到中國交通建設集團有限公司的通知》，中國城鄉通過接受表決權委託、董事會改組及認購非公開發行新股獲得公司控制權事項的整體方案已取得中國交通建設集團有限公司(“中交集團”)批准、國家市場監督管理總局反壟斷審查事項通過及國務院國有資產監督管理委員會(“國務院國資委”)批准。表決權委託事項已生效。生效後，中國城鄉持有公司320,762,323股，佔公司總股本的10.14%，並通過表決權委託的方式持有公司424,186,990股所對應的表決權，佔公司總股本13.40%。中國城鄉在公司中擁有表決權的股份數量合計為744,949,313股，佔公司總股本的23.54%，中國城鄉成為可支配公司最大單一表決權的股東。中國城鄉及其一致行動人中交投資基金管理(北京)有限公司(“中交基金”)在公司中擁有表決權的股份數量合計為757,849,313股，佔公司總股本的23.95%。
2020年8月28日，公司召開第四屆董事會第四十九次會議審議董事會改組事項，並於2020年9月14日公司2020年第七次臨時股東大會審議通過。改組完成後，中國城鄉成為可支配公司最大單一表決權的股東，且其提名董事佔公司董事會半數以上席位，中國城鄉成為公司控股股東，中交集團成為公司間接控股股東，國務院國資委成為公司實際控制人。
