*ST北能(000803.SZ)：北控光伏方面終止要約收購 屬豁免發出要約
格隆匯9月9日丨*ST北能(000803.SZ)公佈，公司(曾用名“四川金宇汽車城(集團)股份有限公司”)擬發行股份及支付現金收購山東十方環保能源有限公司86.34%股權並募集配套資金。此次重組交易之前，北控光伏及其一致行動人持有上市公司33.93%股權。2020年2月17日，北控光伏與公司簽署了附條件生效的《募集配套資金非公開發行股份之股份認購協議之補充協議》、禹澤基金與公司簽署了《股份認購協議》，該協議簽署及履行將可能導致北控光伏對公司形成全面要約收購義務。
此次要約收購以公司重組交易事項經中國證監會核准為生效條件，因此，若公司重組交易未取得上述核准，則北控光伏此次要約收購將自動終止。
公司於2020年6月29日收到中國證監會核發的《關於核准四川金宇汽車城(集團)股份有限公司向甘海南等發行股份購買資產並募集配套資金申請的批覆》(證監許可【2020】1222號)。此次交易完成後，北控光伏及其一致行動人持有的上市公司股權比例由33.93%上升為38.39%，觸發要約收購義務。
2020年7月13日，北控光伏與公司簽署了《募集配套資金非公開發行股份之股份認購協議之補充協議(二)》、禹澤基金與公司簽署了《募集配套資金非公開發行股份之股份認購協議之補充協議(一)》。北控光伏、禹澤基金認購的股份自發行結束之日起18個月內不得轉讓調整為自發行結束之日起36個月內不得轉讓。
根據《上市公司收購管理辦法》第六十三條規定，“經上市公司股東大會非關聯股東批准，投資者取得上市公司向其發行的新股，導致其在該公司擁有權益的股份超過該公司已發行股份的30%，投資者承諾3年內不轉讓本次向其發行的新股，且公司股東大會同意投資者免於發出要約”，公司於2020年7月30日召開了2020年第六次臨時股東大會，審議通過了《關於提請股東大會批准北京北控光伏科技發展有限公司、禹澤紅牛壹號私募股權投資基金免於以要約方式增持股份的議案》。因此，北控光伏和禹澤基金符合《收購管理辦法》第六十三條規定，北控光伏、禹澤基金免於發出要約，無需履行要約收購義務。
此次終止要約收購屬於豁免發出要約，不是收購人自行取消，故不適用於收購人關於12個月內不得再次對同一上市公司進行收購的相關規定。
