渤海股份(000605.SZ)：子公司擬以部分項目作為入池資產開展公開募集基礎設施公募REITs的申報發行工作
格隆匯 9 月 7日丨渤海股份(000605.SZ)公佈，根據中國證券監督管理委員會頒佈的《公開募集基礎設施證券投資基金指引(試行)》、中國證券監督管理委員會和國家發展和改革委員會《關於推進基礎設施領域不動產投資信託基金(REITs)試點相關工作的通知》等文件的規定，為貫徹落實黨中央、國務院關於防風險、去槓桿、穩投資、補短板決策部署，盤活公司存量基礎設施資產，優化公司資本結構，降低資產負債率，促進基礎設施高質量發展，公司全資子公司天津市濱海水業集團有限公司(以下簡稱“濱海水業”)擬以其持有的部分項目作為入池資產開展公開募集基礎設施證券投資基金(以下簡稱“基礎設施公募REITs”)的申報發行工作。
本次交易對手方中，泰達宏利基金管理有限公司(以下簡稱“泰達宏利”)作為公募基金管理人、渤海匯金證券資產管理有限公司(以下簡稱“渤海匯金”)作為資產支持專項計劃管理人、渤海證券股份有限公司(以下簡稱“渤海證券”)作為財務顧問，與渤海股份或指定方合作發起設立基礎設施公募REITs，泰達宏利、渤海匯金和渤海證券均為公司持股5%以上股東天津泰達投資控股實際控制的公司，因此本次交易構成關聯交易。
擬入池標的資產：
公司擬選取的入池資產有：天津市潤達環境治理服務有限公司(以下簡稱“潤達環境”)持有的天津市武清區第七污水處理廠項目(以下簡稱“七污項目”)、天津武清汽車產業園污水處理廠項目(以下簡稱“汽車園項目”)、天津市金博企業孵化器有限公司污水處理廠項目(以下簡稱“金博項目”)；天津市潤達金源水務有限公司(以下簡稱“潤達金源”)持有的天津市靜海區大邱莊綜合污水處理廠項目(以下簡稱“大邱莊項目”)；天津市潤達清源污水治理服務有限公司(以下簡稱“潤達清源”)持有的天津武清城關鎮污水處理廠項目(以下簡稱“城關鎮項目”)；天津宜達水務有限公司(以下簡稱“宜達水務”)持有的自來水供水廠項目(以下簡稱“宜達項目”)。
