瑞泰科技(002066.SZ)擬收購武漢耐材100%股權及瑞泰馬鋼40%股權
格隆匯 8 月 28日丨 瑞泰科技(002066.SZ)公佈，公司擬以發行股份的方式購買武鋼集團持有的武漢耐材100%股權及馬鋼集團持有的瑞泰馬鋼40%股權。此次發行股份購買資產完成後，武漢耐材及瑞泰馬鋼將成為上市公司的全資子公司。
同時，公司擬向武鋼集團和馬鋼集團發行股份募集配套資金，本次募集配套資金總額不超過本次擬購買資產交易價格的100%。發行股份數量不超過本次交易前上市公司總股本的30%。本次募集配套資金擬用於支付中介機構費用及相關税費和投入標的公司在建項目建設，以及補充上市公司及標的公司流動資金等，募集資金具體用途及金額將在重組報告書中予以披露。其中，用於補充流動資金的比例將不超過交易作價的25%，或不超過募集配套資金總額的50%。實際募集配套資金不足部分由公司自有資金解決。
募集配套資金在本次發行股份購買資產實施條件滿足的基礎上再實施，本次發行股份購買資產與募集配套資金互為前提，如任何一部分未能完成，則其他部分不再實施。
公司股東中國建材總院於2020年8月26日與中國寶武簽署了《股份轉讓協議》，約定中國建材總院向中國寶武轉讓公司1155萬股非限售流通A股，佔公司現有股份總數的5%，前述股份轉讓、此次發行股份購買資產、此次募集配套資金的實施均以本次發行股份購買資產及募集配套資金獲得中國證監會核准為前提條件，優先實施股份轉讓，然後實施本次發行股份購買資產及募集配套資金。此次交易及上述股份轉讓完成後，中國寶武預計將成為公司的實際控制人。
鋼鐵行業作為耐火材料最大的下游應用領域，消耗量佔全部耐火材料消耗量的65-70%。耐火材料對鍊鋼鍊鐵工藝至關重要，此次交易有利於推動瑞泰科技與中國寶武等鋼鐵企業之間開展聯合創新，促進瑞泰科技引領鍊鋼、鍊鐵用耐火材料的技術進步。
通過此次交易，瑞泰科技擬購買中國寶武間接持有的武漢耐材100%股權和瑞泰馬鋼40%股權，公司的收入規模以及在鋼鐵耐火材料領域的競爭力將大幅提升，有利於推進公司成為全球排名前三的耐火材料領先企業戰略目標的實現。
