華懋科技(603306.SH)：東陽華盛將成為公司控股股東
格隆匯8月25日丨華懋科技(603306.SH)公佈，2020年5月4日控股股東與華為投資簽署《轉讓股份框架協議》後至2020年8月21日簽訂正式股權轉讓協議，華為投資在交易股權比例、交易單價、擬交易架構以及聘請的財務顧問方面都發生重大的變化。
公告特意強調，上海華為投資管理有限公司(“華為投資”)系一家於2012年7月20日在上海設立的有限責任公司，目前，註冊資本為人民幣3050萬元，由自然人股東袁晉清持股54.65%、林暉持股34.43%、徐晗熙持股10.92%。參與此次交易的華為投資與註冊於深圳的華為技術有限公司及其唯一股東華為投資控股有限公司無任何關聯關係，敬請廣大投資者注意投資風險、避免誤判。
2020年8月21日，金威國際分別與華為投資指定的受讓方之一東陽華盛企業管理合夥企業(有限合夥)(“東陽華盛”)簽署《關於華懋(廈門)新材料科技股份有限公司之股份轉讓協議》，以協議轉讓方式轉讓4922.826萬股股份，佔公司股本總額的15.9449%，轉讓價款為8.1億元。與華為投資指定的受讓方之二寧波新點基石投資管理合夥企業(有限合夥)(“寧波新點”)簽署《關於華懋(廈門)新材料科技股份有限公司之股份轉讓協議》，以協議轉讓方式轉讓2795.679萬股股份，占上市公司股本總額的9.0551%，轉讓價款為4.6億元。金威國際簽訂的正式股份轉讓協議，相比之前框架協議以及框架補充協議因為華為投資的原因在交易方面發生重大變化。
2020年8月21日，東陽華盛與寧波新點共同簽署《一致行動及表決權委託協議》。東陽華盛與寧波新點組成聯合體，共同作為受讓方，收購金威國際持有的公司的控制權，其中，東陽華盛受讓4922.826萬股公司股份，約佔公司總股本的15.9449%、寧波新點受讓2795.679萬股公司股份，約佔公司總股本的9.0551%、以上合計受讓7718.505萬股公司股份，約佔公司總股本的25%。
鑑於東陽華盛和寧波新點組成聯合體收購金威國際所持公司的控制權，若聯合體內任一法律主體的部分股份轉讓無法按約實施的，視為其聯合體的整體行為，則金威國際擬轉讓的全部股份終止實施。
前述股份轉讓完成後，東陽華盛持有公司15.9449%股份，並通過《一致行動及表決權委託協議》控制上市公司9.0551%股份的表決權，從而成為公司控股股東。前述股份轉讓完成後，金威國際不再為公司控股股東，賴敏聰、賴方靜靜、王雅筠不再為公司的實際控制人。
前述股份轉讓完成後，金威國際仍持有公司3882.266萬股股份，約佔公司總股本的12.57%，金威國際及其關聯方將不會謀求公司的控制權。
