漢思能源(00554.HK)擬1529萬美元認購BTHL的8.6%股份 BTHL擬32億港元收購新創建交通服務全部股權
格隆匯8月21日丨漢思能源(00554.HK)公告，於2020年8月21日，TWB Holdings、Glorify（公司全資附屬公司）、ABL及BTHL訂立BTHL股份認購協議，據此，TWB Holdings、Glorify及ABL各自有條件同意，於有關股份發行最終完成後認購分別合共佔BTHL全部已發行股本的約90.8%、8.6%及0.6%的股份，總代價分別為1.62億美元、1529萬美元及105萬美元（相當於約12.58億港元、1.19億港元及800萬港元）。
同日（緊隨簽訂BTHL股份認購協議後），新創建服務與BTHL訂立收購協議，據此，新創建服務有條件同意出售，而BTHL有條件同意購買目標公司新創建交通服務有限公司全部已發行股本，總代價為32億港元。
同日，BTHL與中信銀行（國際）訂立貸款協議，據此，據此，中信銀行（國際）（作為原貸款人）同意授予BTHL定期貸款融資最多12.45億港元；授予借款人（將為目標公司）定期貸款融資最多2億港元；及借款人（將為目標公司）循環貸款融資4億港元。
此外，於2020年8月21日，公司、戴偉先生（公司主席、執行董事兼公司控股股東）及配售代理訂立配售及先舊後新認購協議，據此，戴先生同意委任配售代理配售最多1.75億股，佔公司現有已發行股本約4.69%；及佔經先舊後新認購事項擴大後公司已發行股本約4.48%；及公司同意向戴先生按配售價減每股認購股份應占開支總額發行數目相當於配售代理根據配售事項配售股份的實際數目的新股份。
目標集團主要在香港從事提供公共巴士及旅行相關服務。目標公司的主要附屬公司包括城巴及新巴，其中目標公司直接或間接擁有100%的股權。城巴及新巴各自透過（其中包括）根據香港法例第230章《公共巴士服務條例》授予的公共巴士專營權在香港經營巴士服務。
公司稱，此項投資乃集團參與香港交通運輸界別的戰略機遇。雖然因COVID-19疫情而面對短期挑戰，但當經濟穩定時，公司對目標集團的前景及投資回報率抱持樂觀態度。再者，憑藉集團在區內採購及買賣燃料相關產品方面的豐富經驗，公司日後可在燃料相關業務方面為目標集團提供戰略支持並與之合作。此外，藉助集團於BTHL的同系股東╱合作伙伴的資源及專業知識，公司亦認為，集團能分散其投資並探索更多商機。
