蘇交科(300284.SZ)：控股股東擬變更為珠江實業集團 實控人變更為廣州國資委 股票8月24日起復牌
格隆匯 8 月 21日丨蘇交科(300284.SZ)公佈，2020年8月21日，公司實際控制人符冠華、王軍華與珠江實業集團及其一致行動人廣州國發基金簽署了《符冠華、王軍華與廣州國資產業發展併購基金合夥企業及廣州珠江實業集團有限公司之合作框架協議》及《廣州國資產業發展併購基金合夥企業(有限合夥)、廣州珠江實業集團有限公司與符冠華、王軍華關於蘇交科集團股份有限公司股份之附生效條件的股份轉讓協議》(以下簡稱“《股份轉讓協議》”)，同時，公司與珠江實業集團簽署了《蘇交科集團股份有限公司與廣州珠江實業集團有限公司關於蘇交科集團股份有限公司2020年向特定對象發行股票之附生效條件的股份認購協議》(以下簡稱“《股份認購協議》”)、《蘇交科集團股份有限公司與廣州珠江實業集團有限公司之戰略合作協議》。
基於上述協議，相關方擬實施的上市公司控制權變更整體方案包括：(1)《股份轉讓協議》生效條件達成後(包括本次向特定對象發行股票取得中國證監會同意註冊的批覆等)，珠江實業集團的一致行動人廣州國發基金受讓公司實際控制人所持公司48,570,299股(佔本次發行前公司股份總數的5%)；(2)珠江實業集團通過本次發行認購公司291,421,794股，佔本次發行前公司股份總數的30.00%；(3)在本次發行完成的同時，符冠華、王軍華將分別放棄所持7,500萬股、5,100萬股股票的表決權。
前述控制權變更整體方案實施完成後：(1)珠江實業集團直接持有公司股份比例為23.08%，珠江實業集團及其一致行動人廣州國發基金合計持有公司股份比例為26.92%；(2)符冠華、王軍華持有公司股份比例分別為13.86%、9.43%，合計持股比例為23.29%；符冠華、王軍華擁有表決權股份數佔公司股本總數比例分別為7.92%、5.39%，合計擁有表決權比例為13.31%；(3)上市公司控股股東將由符冠華、王軍華變更為珠江實業集團，實際控制人將由符冠華、王軍華變更為廣州市人民政府國有資產監督管理委員會。
2020年8月21日，公司召開第四屆董事會第十八次會議，審議通過了《關於公司向特定對象發行股票方案的議案》等相關議案。
根據《深圳證券交易所創業板股票上市規則》、《深圳證券交易所上市公司信息披露指引第2號——停復牌業務》等有關規定，經向深圳證券交易所申請，公司股票(股票簡稱：蘇交科，股票代碼：300284)自2020年8月24日(星期一)上午開市起復牌。
