雲賽智聯(600602.SH)擬向3家子公司增資
格隆匯8月21日丨雲賽智聯(600602.SH)公佈，上海儀電鑫森科技發展有限公司(以下簡稱“儀電鑫森”)系公司全資子公司，成立於2010年，註冊資本4000萬人民幣，是一家立足於教育市場，專業為教育行業提供專業信息化系統集成、智慧校園解決方案、軟件系統開發應用以及校園運維服務的高新技術企業和科技小巨人企業。本次公司擬向儀電鑫森增資6000萬元，增資後儀電鑫森的註冊資本從4000萬元增至1億元。本次增資為公司使用自有資金，以現金方式一次性實繳到位。
上海廣電通信技術有限公司(以下簡稱“廣電通信”)系公司全資子公司，註冊資本1400萬元，是一家主要從事船用導航雷達、自動雷達標繪儀、船舶導航系統工程等導航雷達設備的設計、開發、生產和服務，擁有裝備科研及生產所需相關資質的高新技術企業。本次公司擬向廣電通信增資5000萬元，增資後廣電通信的註冊資本從1400萬元增至6400萬元。本次增資為公司使用自有資金，以現金方式一次性實繳到位。
上海科技網絡通信有限公司(以下簡稱“科技網”)系公司控股子公司，成立於2000年11月，註冊資本：人民幣20000萬元，其中：雲賽智聯持股80%，上海科技創業投資有限公司(以下簡稱：“上海科創投”)持股20%。科技網從事互聯網接入業務、IDC計算中心、雲服務等綜合電信增值服務業務。本次公司擬與上海科創投向科技網按股權比例增資10000萬元，增資後科技網的註冊資本從20000萬元增至30000萬元。
上海雲賽數海科技有限公司(以下簡稱“雲賽數海”)成立於2020年3月，系科技網下屬全資子公司，註冊資金3000萬元，是專門為松江大數據計算中心項目建設而成立的一家項目公司。本次科技網擬向雲賽數海增資7000萬元，增資後雲賽數海的註冊資本從3000萬元增至10000萬元。科技網本次增資為公司和上海科創投使用自有資金按股權比例增資，以現金方式一次性實繳到位。雲賽數海本次增資為科技網使用自有資金，以現金方式一次性實繳到位。
上述增資有利於子公司解決項目建設所需資金和流動資金不足的問題，進一步提升市場競爭力。上述增資符合公司發展，不存在損害公司及股東利益的情形。
