捨得酒業(600702.SH)：間接控股股東及其關聯方資金佔用 本金及佔用費共4.7486億元
格隆匯 8 月 19日丨捨得酒業(600702.SH)公佈，公司經自查，發現公司間接控股股東天洋控股集團有限公司(“天洋控股集團”)及其關聯方存在通過四川省蓬溪縣蓬山酒業有限公司(“蓬山酒業公司”)非經營性佔用公司資金的情形。
天洋控股集團承諾於2020年9月19日前歸還非經營性佔用的資金及利息。若天洋控股集團及其關聯方不能按時歸還非經營性佔用的資金及利息，公司股票可能存在被實施“其他風險警示”的風險。
經公司自查，2019年度，公司全資子公司四川沱牌捨得營銷有限公司(“捨得營銷公司”)累計支付關聯方蓬山酒業公司非經營性資金約21.58億元，累計收回關聯方蓬山酒業公司非經營性資金約21.58億元，截至2019年12月31日，捨得營銷公司應付蓬山酒業公司100元。
2020年1月1日至2020年8月19日期間，捨得營銷公司累計支付關聯方蓬山酒業公司非經營性資金約18.52億元，累計收回關聯方蓬山酒業公司非經營性資金約13.77億元，截至2020年8月19日，捨得營銷公司應收蓬山酒業公司4.7486億元，其中本金為4.40億元，資金佔用費為3486萬元(資金佔用費按年化率5.00%計算)。以上資金為天洋控股集團及其關聯方通過蓬山酒業公司對公司形成的關聯方非經營性佔用。
公司經自查發現並確認蓬山酒業公司資金佔用事項後，公司董事會和管理層立即與蓬山酒業公司及沱牌捨得集團、天洋控股集團溝通，督促其制定切實可行的還款方案,儘快歸還佔用的資金。天洋控股集團向公司出具承諾函如下：
天洋控股集團及天洋控股集團關聯方將通過包括但不限於股權、資產抵質押等各種融資方式，於2020年9月19日前，將前述欠款及相應資金佔用費全部歸還四川沱牌捨得營銷有限公司。
公司董事會將持續關注並督促天洋控股集團儘快履行還款承諾，同時採取訴訟、資產保全等措施維護公司利益，公司全資子公司沱牌捨得營銷公司已於2020年8月18日向四川省遂寧市中級人民法院申請對天洋控股集團及其關聯方的財產採取保全措施。
