格隆匯 8 月 14日丨榮陽實業(02078.HK)發佈公告,於股東特別大會上通過有關授出建議授權的普通決議案後,2020年8月13日,集團已與政府機關簽訂土地收儲協議。根據土地收儲協議,建議出售事項將透過公開土地拍賣流程進行,而集團將由增城人民政府地方辦事處以出售該土地的所得款項給予補償。建議出售事項的實際補償金額將取決於在公開土地拍賣中獲得的最高出價,預期將不低於預期補償金額。

該土地包括總面積約為12.91萬平方米的地塊,位於廣州增城荔城街增城大道318號,其土地使用權由集團持有。政府已向集團授予該土地作商業及工業用途的土地使用權。於該公告日期,該土地用作工業用途。

於2019年12月31日,該土地的公允價值及賬面值分別為5.16億港元及625萬港元。該土地於2019年12月31日的公允價值由估值師根據其現有土地用途(即工業用途)進行評估,惟未考慮重建計劃下的任何重建潛力。

誠如此前通函所述,規劃和自然資源局宣佈,廣東省增城區的若干區域已於2018年2月底進行重新規劃重建發展,而該土地位於該區域內。於2020年2月,規劃和自然資源局進一步宣佈有意進行收儲該土地,以用於增城區的城市更新項目。自此,集團已開始將其生產設施從增城搬遷至集團在中國的其他生產廠房,搬遷過程已完成一半,預計將於2020年年底完成搬遷。

董事會認為,建議出售事項為集團提供絕佳機會,讓集團在根據重建計劃進行的公開土地拍賣中釋出該土地的價值。考慮到建議出售事項的預期所得款項及建議出售事項的潛在未經審核資本收益,董事會認為,集團的財務狀況將大幅提升,而所得款項將為集團未來業務發展提供額外營運資金。鑑於集團一直搬遷其設備及機器,並將其訂單轉移至擁有充裕產能的南陽製造設施,故公司認為,建議出售事項將不會對集團的業務及營運造成重大影響。
