中教控股(00839.HK)擬先舊後新配售1.3億股 淨籌約20.02億港元
格隆匯 8 月 11日丨中教控股(00839.HK)發佈公告，2020年8月10日，藍天、白雲及公司與配售代理UBS AG Hong Kong Branch訂立配售協議，據此配售代理同意促使獨立承配人按配售價每股15.50港元購買合共1.3億股配售股份(或倘並無獨立承配人，則由配售代理作為主事人)。作為配售協議的先決條件，藍天、白雲及公司須於配售協議完成前訂立認購協議，據此，公司亦已同意按認購協議內的條款和條件向藍天及白雲按認購價(與配售價相同)發行相等於配售股份數目的認購股份。
配售代理可配售股份總數相當於公司現有已發行股本約6.43%及公司經認購擴大的已發行股本約6.05%。配售價每股15.50港元較8月10日收市價每股16.80港元折讓約7.7%。公司將會向聯交所上市委員會申請批准認購股份上市及買賣。預期配售將於2020年8月13日或之前或藍天、白雲與配售代理可能協定的其他時間或日期完成。
藍天為一間於英屬維爾京羣島註冊成立的有限公司，由Passionate Jade Holding Limited全資擁有，而Passionate Jade Holding Limited由Cantrust (Far East) Limited (作為酌情信託(即藍天信託)的受託人)全資擁有。執行董事於果為藍天信託的財產授予人和受益人。
白雲為一間於英屬維爾京羣島註冊成立的有限公司，由Shimmery Diamond Holding Limited全資擁有，而Shimmery Diamond Holding Limited 由Cantrust (Far East) Limited(作為酌情信託(即藍天信託)的受託人)全資擁有。執行董事謝可滔為白雲信託的財產授予人和受益人。於配售協議日期，藍天及白雲合共實益擁有15億股股份，相當於公司現時已發行股本約74.25%。
公告表示，除擴充現有學校的計劃外，集團將會繼續執行其併購策略以購入更多學校，從而擴大公司版圖並打入海外市場。誠如此前公告所披露，公司收購及投資於海南學校。董事認為，配售及認購將鞏固公司的資本基礎以用作(其中包括)潛在及已公佈的收購事項以及擴充及發展新及現有校舍。公司估計，認購所得款項淨額將約為20.02億港元。公司擬將認購所得款項淨額用作潛在以及已公佈的收購項目和擴充及發展集團現有及新校舍。
