天津創業環保股份(01065.HK)擬設項目公司建設山東省黃河三角洲廢物填埋處置設施
格隆匯8月7日丨天津創業環保股份(01065.HK)發佈公告，於2020年8月7日，董事會審議通過公司出資設立項目公司（擬名為東營天馳環保科技有限公司）以開展該項目。據此，公司擬與萬里置業公司簽訂《合資合同》，以合資設立項目公司來實施該項目。該項目採取分期投資、分步建設的方式開展實施，該項目的預計總投資金額約為人民幣16.38億元。
根據《合資合同》的約定，項目公司的註冊資本為人民幣1.36億元，其中公司出資人民幣6951萬元，佔項目公司的註冊資本51%；萬里置業公司出資人民幣6679萬元，佔項目公司的註冊資本49%，雙方均以現金方式出資。項目公司的註冊資本與該項目所需資金的差額部分將由項目公司通過銀行貸款、融資租賃等方式解決，並由公司及萬里置業公司按股權比例分別為項目公司進行融資擔保。於該成立事項後，項目公司將成為公司的附屬公司。
該項目選址位於山東省黃河三角洲農業高新技術產業示範區濱海新區，預計佔地面積358畝。該項目的主體為剛性填埋場及配套設施，主要建設內容包括：填埋單元格工程、雨棚及吊裝機械工程、防滲工程、滲濾液導排工程、道路工程、雨水導排工程、泵房、暫存庫、滲濾液處理車間、預處理車間及辦公實驗樓等。
該項目的項目核心為填埋單元格，共計2,400個，設計總庫容為60萬立方米，預計服務年限為10年。該項目採取分期投資、分步建設的方式開展實施，該項目的預計總投資金額約為人民幣1,638,259,500元。
公司稱，該項目是以國家新規範高標準建設的剛性危險廢物填埋處置設施，以安全高效的終端方式實現危險廢物的規範化處置，該項目建設順應國家產業政策要求，並推動生態環境治理和社會綠色發展的需求。該項目符合集團的十三五發展規劃及戰略的要求，示範帶動效應突出，對進一步開拓新興業務領域，構建全產業鏈及區域綜合服務能力，實施技術人才儲備，打造綜合環境服務供應商都具有積極意義。
此外，憑藉擁有良好的當地行業知識，萬里置業公司可以與公司通過充分發揮各自優勢，實現資源互補，促進雙方在項目運作和未來經營中均能夠發揮重要作用。
