長園集團(600525.SH)：收購湖北天弓智能設備51%股權
格隆匯 8 月 6日丨長園集團(600525.SH)公佈，公司第七屆董事會第三十八次會議決議，審議通過了《關於收購湖北天弓智能設備有限公司51%股權的議案》；
湖北天弓智能設備有限公司(“湖北天弓”、“目標公司”)成立於2014年6月16日，是一家專業機械式立體停車庫整體解決方案供應商，註冊資本為8,846.6萬元，法定代表人張昌雲，生產基地位於湖北省紅安縣經濟開發區高新技術產業園，主要產品為32層平面移動類/垂直升降類圓形停車塔庫、PCS型垂直升降類15-32層矩形塔庫、PCS型垂直升降類大轎廂式塔庫、PCS型垂直升降類橫移塔庫等。湖北天弓實際控制人張昌雲持有75.74%股權，名義股東為張志強，即張昌雲自願委託張志強作為其對湖北天弓6700萬元出資(對應目前其持有的75.74%股權)的名義持有人，並代為行使股東權利，目前代持關係仍存續；自然人股東張昌新持有湖北天弓14.69%股權；湖北紅安高宏股權投資基金有限公司持有湖北天弓9.57%股權。
參考北京北方亞事資產評估事務所(特殊普通合夥)出具的以2020年3月31日為基準日《長園集團股份有限公司擬收購股權項目涉及的湖北天弓智能設備有限公司股東全部權益價值資產評估報告》(北方亞事評報字[2020]第01-462號)，採用資產基礎法評估結果，湖北天弓股東全部權益價值為7513.9萬元。綜合考慮到智能車庫行業相關鼓勵政策、車庫及相關裝備的行業發展趨勢以及公司在智能裝備領域的產業規劃佈局，經各方協商，公司分別以人民幣4900萬元、98萬元分別向張昌雲(名義股東為張志強)、張昌新收購其持有的湖北天弓50%股權及1%的股權，收購完成後，公司持有湖北天弓51%的股權，此次股權收購的對價合計為4998萬元。湖北天弓其他股東已放棄行使優先購買權。此次公司收購的51%湖北天弓股權不存在抵押、質押情形。
立體停車或機械式停車的未來發展符合我國社會發展需要，預計未來立體停車庫的市場需求將保持持續增長。本項目與長園集團目前產業方向一致，屬於自動化裝備產業類。此外，考慮後續電動汽車的發展，可在現有車庫和車架上植入充電等相關設備和業務，預計可帶動集團充電樁業務的提升。而且湖北天弓為滿足機械車庫的交付需要自動化製造產線可由集團智能工廠裝備板塊公司提供，包括各類AGV設備等。該項目符合集團產業定位，相關產業未來的市場前景廣闊，且與現有主業具有一定的協同效應。
